Fixed Rate Tranche definition

Fixed Rate Tranche means a Tranche on which Fixed Rate is applied.
Fixed Rate Tranche means a Tranche disbursed on a Fixed Rate basis. ‘‘Floating Rate’’ means a fixed-spread floating interest rate, that is to say an annual interest rate equal to the Relevant Interbank Rate plus or minus the Spread, determined by the Bank for each successive Floating Rate Reference Period. ‘‘Floating Rate Reference Period’’ means each period from one Payment Date to the next relevant Payment Date and the first Floating Rate Reference Period shall commence on the date of disbursement of the Tranche. ‘‘Floating Rate Tranche’’ means a Tranche disbursed on a Floating Rate basis. ‘‘Indemnifiable Prepayment Event’’ means a prepayment event under Article 4.03A(3). ‘‘Interest Revision/Conversion Date’’ means the date, being a Payment Date, specified by the Bank pursuant to Article 1.02B in the Disbursement Notice or pursuant to Article 3 and Schedule D. ‘‘Interest Revision/Conversion Proposal’’ means a proposal made by the Bank under Schedule D, for an amount which, at the proposed Interest Revision/Conversion Date, is not less than EUR 10 000 000 (ten million euros) or the equivalent thereof. ‘‘Interest Revision/Conversion Request’’ means a written notice from the Borrower, delivered at least 75 (seventy-five) days before an Interest Revision/Conversion Date, requesting the Bank to submit to it an Interest Revision/Conversion Proposal. The Interest Revision/Conversion Request shall also specify:
Fixed Rate Tranche means a Tranche which is specified as a Fixed Rate Tranche in the relevant Disbursement Offer. "GAAP" means generally accepted accounting principles in Germany, including IFRS. "GDPR" means General Data Protection Regulation (EU) 2016/679. "Group" means the Group Companies, taken together as a whole. "Group Company" means the Borrower and its Subsidiaries. "IFRS" means international accounting standards within the meaning of IAS Regulation 1606/2002 to the extent applicable to the relevant financial statements. "Illegal Activities" means any of the following illegal activities or activities carried out for illegal purposes according to applicable laws in any of the following areas: (i) fraud, corruption, coercion, collusion or obstruction, (ii) money laundering, financing of terrorism or tax crimes each as defined in the AML Directives, and (iii) fraud and other illegal activity against the financial interests of the European Union as defined in the PIF Directive. "Illegality Event" has the meaning given to it in Article 5.3.3 (Illegality Event). "Indebtedness" means any: (a) obligations for borrowed money;

Examples of Fixed Rate Tranche in a sentence

  • In case of demand under Article 10.01 in respect of any Fixed Rate Tranche, the Borrower shall pay to the Bank the amount demanded together with the Prepayment Indemnity on any amount of principal due to be prepaid.

Fixed Rate Tranche means the outstanding amount of the Term Loan in respect of which interest is payable by reference to a Fixed Funds Rate for the duration of a Fixed Rate Period. FRS together with a number means the financial reporting standard issued by the Accounting Standards Board for application in England and Wales and identified by reference to that number. GAAP means, in relation to a company, accounting principles, concepts, bases and policies generally accepted in the jurisdiction of its incorporation. GROUP means Newco, Aspen and each of their respective Subsidiaries, and Group Company means any one of them. GUARANTEE AND DEBENTURE means a guarantee and debenture in the agreed form executed or to be executed in favour of the Bank.
Fixed Rate Tranche means any one of the four interest rate components (each such interest rate component being referred to individually as a “Fixed Rate Tranche,” and all such interest rate components being referred to collectively as the “Fixed Rate Tranches”) of the Loan established pursuant to Section 3, consisting of the Thirty Day Fixed Rate Tranche, the Three Month Fixed Rate Tranche, the Six Month Fixed Rate Tranche and the One Year Fixed Rate Tranche.
