At the France Closing, Buyer shall deliver, or cause to be delivered, the France Purchase Price and the Local Closing Documents relating to the French Shares in the manner set forth in Section 2.3.
On the terms and conditions set forth in the offer letter attached as Exhibit J hereto (the “French Offer Letter” and the offer set forth therein, the “French Offer”), including the purchase price specified therein (the “France Purchase Price”), Buyer has irrevocably offered to acquire the French Shares and to have the provisions of this Agreement apply to such French Shares and the French Entity following the completion of the consultation process described in Section 2.7(a).
The Purchase Price (plus the Assumed Liabilities) shall be allocated among the CST Shares, the French Shares, the UK Shares and the China Assets as set forth on Schedule 1.1; provided, that if the French Seller does not exercise the European Sale Option, the Purchase Price (plus the Assumed Liabilities) shall be allocated among the CST Shares and the China Assets as set forth on Schedule 1.1 (in either case, such allocation, the “Allocation”).
If the Seller wishes to accept our Offer, the Seller shall notify the Purchaser of such acceptance through the delivery, on or prior to the Expiry Date (as such term is defined below in Clause 2(a)), of written notice in the form attached hereto as Schedule 3 (an “Acceptance Notice”) specifying that the Seller accepts the Offer and that the Global Purchase Agreement shall become effective as to the French Shares (the date of delivery of such written notice, the “Acceptance Date”).

A final decision on the sale and transfer of any French Shares and the terms of any such sale will only be made by Seller in accordance with Section 2.2(e) up to and including Section 2.2(h) and after the Completion of the French Works Councils Process.
