For each Gas Day after the completion of Commissioning and after Acceptance Date when the Vessel operates at FSRU Site, Customer shall have the right to nominate according to this schedule the lesser of (i) the Maximum Daily Contract Quantity; and (ii) the Available LNG Inventory.
Contractor shall have the exclusive right to provide FSRU Services at the FSRU Site for the Term.
Contractor shall provide the FSRU Services at the FSRU Site from and after the Vessel Acceptance Date.
Should the Vessel be a Total Loss, this Charter shall terminate and payment of Hire shall cease at 12:00 hours local time (at the FSRU Site) on the day of her loss.
Contractor shall provide the FSRU Services at the FSRU Site from and after the Service Commencement Date.
Unless Lessee has exercised the Purchase Option, if this Agreement is terminated prior to the expiration of the Term in accordance with any provision of this Agreement or applicable Law, the Vessel shall be redelivered by Lessee to Owner at the FSRU Site on the date on which this Agreement terminates and, subject to Clause 4.12(c), Owner shall pay Lessee for the LNG on board at the LNG Price and any other sums Lessee is entitled to receive under this Agreement.
Lessee intends to facilitate the importation of LNG into Colombia through an LNG import terminal located at the FSRU Site which would require storage and regasification through a floating storage and regasification unit capable of discharging regasified LNG (the "Project").
Customer shall be responsible for procuring and paying for (i) provision of tugs, pilots, escorts and other support vessels for mooring the LNG Carriers to the Vessel; (ii) any Port Charges, including all towage, pilotage, and mooring expenses relating to loading, reloading, discharging and bunkering at the FSRU Site; and (iii) all costs and expenses relating to Vessel security at the FSRU Site required by the port facility or any relevant authority in accordance with the ISPS Code.
Notwithstanding the foregoing, if Lessee wishes to moor the Vessel at an alternative site besides the FSRU Site, it may do so provided: (a) Owner approves such alternative site, such approval not to be unreasonably withheld; and (b) Lessee pays all costs and expenses of Owner arising or incurred in connection with the change of site, including without limitation, costs associated with the relocation of the Vessel and any logistical requirement of Owner at the alternative site.
Should the Vessel be a Constructive Total Loss, this Charter shall be deemed terminated as of 12:00 hours local time (at the FSRU Site) on the day on which the Vessel was damaged and the payment of Hire shall cease at such date and time.
