Functionality Specifications definition

Functionality Specifications means the functionality of the Software as described in the Documentation. "Software" means the object code (machine readable) version of the software product(s) listed in Exhibit A, or any subsequent Exhibit A, including prior and future releases. "Price List" means the then-current price list for the country in which the Software is to be used. "Documentation" means installation manuals and user manuals for the Software. "Purchase Order" means a purchase authorization document issued by Client for the licensing of InterWorld Software. "Designated Platform" means the computer central processing unit ("CPU") and operating system software on which the InterWorld Software is running and is located at the site designated on Exhibit A.
Functionality Specifications means the functionality specifications, operational features and mock-ups of the Video Service, insofar as it includes the SONY BMG Materials, that is approved by SONY BMG in writing in advance in its sole discretion for the applicable Approved Distribution Channel, insofar as it pertains to SONY BMG Materials used in connection with the Video Service. The parties hereby acknowledge that as of the Effective Date, Company has not yet submitted proposed such specifications to SONY BMG for its approval hereunder. Company hereby agrees that it will submit proposed such specifications to SONY BMG for its approval hereunder promptly following the complete execution of this Agreement, and that notwithstanding anything elsewhere in this Agreement, SONY BMG’s prior approval of such specifications will be deemed a condition precedent to (x) the effectiveness of the Grant of Rights prescribed in Article 1, and (y) SONY BMG’s delivery of SONY BMG Videos to Company pursuant to subparagraph 4.01(a). Once so approved by SONY BMG in accordance with the terms hereof, such specifications will be deemed incorporated by reference into this Agreement as the Functionality Specifications attached as Exhibit A-2 hereto.

  • The New Model 3 Laser Transfer Price shall be for the purchase of a Laser Power Source meeting the Universal Functionality Specifications currently attached hereto as Schedule 2.1(a) and shall be subject to increase in accordance with the “proviso” clause of the last sentence of Section 2.1(b).

  • Neoforma will verify such information against the on-line data base information made available by Novation and ensure that such registration is authorized in accordance with registration and password issuance and protection procedures acceptable to Neoforma and in accordance with the Functionality Specifications to be mutually agreed upon.

Related to Functionality Specifications

  • Service Specifications means the following documents, as applicable to the Services under Your order: (a) the Oracle Cloud Hosting and Delivery Policies, the Program Documentation, the Oracle service descriptions, and the Data Processing Agreement described in this Schedule C; (b) Oracle’s privacy policies; and (c) any other Oracle documents that are referenced in or incorporated into Your order. The following do not apply to any non-Cloud Oracle service offerings acquired in Your order, such as professional services: the Oracle Cloud Hosting and Delivery Policies, Program Documentation, and the Data Processing Agreement. The following do not apply to any Oracle Software: the Oracle Cloud Hosting and Delivery Policies, Oracle service descriptions, and the Data Processing Agreement.

  • Functional Specifications means the descriptions of features and functions of the Application as expressly set forth in Quote.

The tenderer is advised to seek qualified advice regarding insurance. F.2.10 Pricing the tender offer F.2.10.1 Include in the rates, prices, and the tendered total of the prices (if any) all duties, taxes (except Value Added Tax (VAT), and other levies payable by the successful tenderer, such duties, taxes and levies being those applicable 14 days before the closing time stated in the tender data. F2.10.2 Show VAT payable by the employer separately as an addition to the tendered total of the prices.

  • Service Specific Terms has the meaning given in the G Suite Agreement or Complementary Product Agreement, as applicable, or, if Customer’s G Suite Agreement does not define “Service Specific Terms”, means the then-current terms specific to one or more Core Services for G Suite set out at xxxxx://xxxxxx.xxxxxx.xxx/terms/service-terms/.

  • Goods Specification means any specification for the Goods, including any related plans and drawings that is set out in the Purchase Order or otherwise agreed in writing by the Customer and the Supplier;
