Fund Percentage definition

Fund Percentage means a percentage established for each Member on the Fund's books as of the first day of each Fiscal Period. The Fund Percentage of a Member for a Fiscal Period shall be determined by dividing the balance of the Member's Capital Account as of the commencement of such Fiscal Period by the sum of the Capital Accounts of all of the Members as of the commencement of such Fiscal Period. The sum of the Fund Percentages of all Members for each Fiscal Period shall equal 100%.
Fund Percentage means, with respect to each Limited Partner for an Accounting Period, such Limited Partner’s Opening Capital Account for the Accounting Period, divided by the sum of the Opening Capital Accounts of all Limited Partners for that Accounting Period. The sum of the Fund Percentages shall equal 100%.
Fund Percentage means, as to any Member, the percentage that such Member’s Capital Commitment bears to the aggregate Capital Commitments of all Partners; provided, however, that (i) Fund Percentages shall be recomputed to take into account the admission or withdrawal of a Member or the transfer by a Member of all or a part of its interest in the Fund, and (ii) upon the adjustment of the MembersCapital Accounts in accordance with paragraph 4.1(a), the Fund Percentages of each Member shall be adjusted to equal the percentage that such Member’s Capital Account balance bears to the aggregate Capital Account balances of all Members immediately following the operation of paragraph 4.1(a).‌‌

More Definitions of Fund Percentage

Fund Percentage means with respect to any Fund (other than Pinnacle, KPV, Redmile, Deerfield, Rock Springs and Permal) at any time, (x) the number of Common Share Equivalents owned by such Fund at such time divided by (y) the number of Common Share Equivalents (as adjusted for stock splits, stock dividends and the like) owned by such Fund as of immediately after the closing of the transactions contemplated by the Series A Preferred Stock Purchase Agreement on March 28, 2008; provided, however, that with respect to Pinnacle, the term “Fund Percentage” means at any time, (x) the number of Common Share Equivalents owned by Pinnacle at such time divided by (y) the number of Common Share Equivalents (as adjusted for stock splits, stock dividends and the like) owned by Pinnacle as of immediately following the closing of the transactions contemplated by the Series C Preferred Stock Purchase Agreement dated June 30, 2010 (the “Series C Financing”); and provided, further, that with respect to each of KPV and Redmile, the term “Fund Percentage” means at any time, (x) the number of Common Share Equivalents owned by KPV or Redmile, as applicable, at such time divided by (y) the number of Common Share Equivalents (as adjusted for stock splits, stock dividends and the like) owned by KPV or Redmile, as applicable, as of immediately following the closing of all transactions contemplated by the Series D Purchase Agreement dated June 1, 2012 (the “Series D Financing”); and, provided, further, that with respect to Deerfield, Rock Springs and Permal the term “Fund Percentage” means at any time, (x) the number of Common Share Equivalents owned by Deerfield, Rock Springs and Permal, as applicable, at such time divided by (y) the number of Common Share Equivalents (as adjusted for stock splits, stock dividends and the like) owned by Deerfield, Rock Springs and Permal, as applicable, as of immediately following the closing of the transactions contemplated by the Series E Purchase Agreement (the “Series E Financing”)
Fund Percentage means, with respect to each Limited Partner and each Valuation Date, the fraction the numerator of which is the Net Asset Value of such Limited Partner’s Capital Account as of such Valuation Date and the denominator of which is the Net Asset Value of the Fund as of such Valuation Date, in each case determined without reduction for any Carried Interest not yet allocated.
