  • Conditions to the ArrangementThe Arrangement is subject to a number of conditions, including the approval by holders of GameSquare Shares (the “GameSquare Shareholders”) at a special meeting expected to be held in the first quarter of 2023 to approve the Arrangement (the “Meeting”).

  • Based on the number of outstanding GameSquare Shares as of the date of this press release, it is expected that Engine Gaming will issue an aggregate of approximately 25,409,372 Engine Gaming Shares to GameSquare shareholders.

  • The Arrangement requires approval by at least 66.67% of the holders of the GameSquare Shares who vote at the meeting.

  • As of the date hereof, such Stockholder’s Existing Shares constitute all of GameSquare Shares Beneficially Owned or owned of record by such Stockholder.
