It shall or shall cause Iowa Corp to maintain or cause to be maintained full and accurate accounts and records for any particular Gaming Project and its Project Facilities according to GAAP.
It is a special purpose company which has been established for the purpose of making the investment in the Primorye Gaming Project and does not have any other assets.
It shall not and shall not permit Iowa Corp or any of its other governmental instrumentalities or subsidiaries to impose any tax, fee or assessment on any of Lakes Consulting, its respective Affiliates, any Contractor, any Gaming Project and its Project Facilities, and/or any of the Transaction Documents other than the fees and assessments described in clause (c) of the definition of "Costs of Operations" contained in the Consulting Contract.
FGCE holds a gaming license awarded by the Administration of the Primorye Region to conduct gaming activities in the Integrated Entertainment Zone of the Primorye Region, Russia, pursuant to which the Primorye Gaming Project is being developed by FGCE.
Except as otherwise expressly permitted by the Transaction Documents, it shall not and shall not permit Iowa Corp or any of its other governmental instrumentalities or subsidiaries to cause or voluntarily permit any lien or encumbrance to be created on the Project Facilities for any particular Gaming Project, any Gaming Project's Gaming Facility Site or any proceeds of the Gaming Project Permanent Financing.
The parties hereto state that establishment of tax increment financing is instrumental to the development of the Riverboat Gaming Project, and the Partnership is taking actions and making expenditures in anticipation that tax increment financing will be adopted.
Toward that end, Tenant agrees that it will not sell, distribute, display or offer to sell any item, or permit any subtenant, licensee or concessionaire in the Project Site, to sell, distribute, display or offer to sell any item, which is inconsistent with the quality of operation and the ambiance and character of the Riverboat Gaming Project, or which might tend to injure or detract from the moral character or image of the Riverboat Gaming Project.
The parties acknowledge that the TIF Notes may be issued by the City and purchased by the Partnership prior to opening of the Riverboat Gaming Project for gaming, and that this Agreement may be terminated by the Partnership pursuant to Section 6.1 after such issuance and purchase.
The City to the extent permitted by law agrees to pass all zoning, sign and other ordinances, issue all permits and take all other actions necessary to develop and operate the Riverboat Gaming Project subject to: (a) submission to the City of plans and documents in compliance with City building codes and other applicable City ordinances, and (b) compliance with City building codes.
The City shall deliver to the Partnership a copy of all City ordinances which relate to the Riverboat Gaming Project and the TIF District accompanied by the certificate of the City Clerk certifying that all such City ordinances have been duly adopted by the City Council, are in full force and effect and have not been modified or repealed, except as set forth in the Certificate.
