Group II Employees definition

Group II Employees means Group II employees under Treasury Board Order #88, as amended;
Group II Employees means the employees of the Sellers listed under the caption “Group II” on Schedule II to the Closing Statement.
Group II Employees means Eligible Employees who are (i) Supervisory Employees of National, National Fuel Gas Supply Corporation, National Fuel Gas Distribution Corporation and Leidy-Hub, Inc. (formerly Enerop Corporation); (ii) Supervisory Employees of Seneca Resources Corporation - Northeast whose first Hour of Service was performed before January 1, 1997; (iii) Supervisory Employees of Seneca Resources Corporation - East whose first Hour of Service with Seneca Resources Corporation was performed before January 1, 1997 and who elected not to be covered by the Seneca Resources Corporation Flexible Benefits Plan; and (iv) Supervisory Employees of National Fuel Resources, Inc. Notwithstanding clause (iv) of the preceding sentence, for the period from February 1, 1997 through December 31, 1997, “Group II Employees” includes only those Supervisory Employees of National Fuel Resources, Inc. whose first Hour of Service was performed before October 31, 1994. Notwithstanding the preceding paragraph, for the period January 1, 1997 through January 31, 1997, “Group II Employees” means all executive and Supervisory Employees (i.e., those employees who are paid on a salaried basis) of the corporations listed in item (x) of Subsection (m), as well as the executive and Supervisory Employees of Seneca Northeast (as defined in item (y) of Subsection (m)). Effective as of January 1, 2003, the term “Group II Employees” will also include Eligible Employees who (i) are Supervisory Employees of Horizon Energy Development, Inc. or Horizon Power, Inc. and (ii) who were employed as Supervisory Employees of National Fuel Gas Distribution Corporation or as Supervisory Employees of National Fuel Gas Supply Corporation as of December 31, 2002. Effective as of January 1, 2007, the term “Group II Employees” will also include Eligible Employees who are Supervisory Employees of Empire State Pipeline Company, LLC and who satisfy (1) or (2) below:

Examples of Group II Employees in a sentence

  • The Visteon Mirror GRP shall be responsible for providing retirement benefits for Group I and Group II Employees for service on or after the Benefit Transition Date and, subject to receipt of the asset transfer described below, for Group III Employees for service recognized under the GRP prior to the Benefit Transition Date and for service with Visteon after the Benefit Transition Date.

  • For purposes of the 2001 Visteon Separation Programs, as defined <PAGE> 13 below, it is acknowledged and agreed that the present value as of July 1, 2001 for the effect of the 2001 Visteon Separation Program (phase 1) on the PBO related to the Group I and Group II Employees is $28,865,296.00 and as of September 1, 2001 (phase II) the effect is $1,947,437.00, which also includes the effect on the PBO related to the BEP and SERP as provided in Section 3.02(c)(ii), as amended.

  • The GRP shall retain liability for retirement benefits of Group I and Group II Employees, but only for service through the Benefit Transition Date.

  • Group II Employees are required to purchase only basic working gear and/or basic uniform items.

  • Ford shall retain the liability for benefits for Group I or Group II Employees who have attained the minimum Leadership Level required for such benefits as of the Benefit Transition Date, but only for service through the Benefit Transition Date.

  • The Group I and Group II Employees' ESAP benefits shall be computed as follows: Ford ESAP: FS x TB / TS where FS is service with Ford and Visteon, up to the Benefit Transition Date VS is service with Visteon after the Benefit Transition Date TS is the sum of FS and VS TB is the total ESAP benefit payable in respect of total Ford and Visteon service based on the Group I or Group II Employee's Leadership Level on the day prior to the Benefit Transition Date.

  • Visteon agrees that it will make a series of cash payments to the VEBA with the intent that by December 31, 2049 the assets in the VEBA will equal Visteon's balance sheet liability at the same date for OPEB benefits in respect of Group I and Group II Employees.

  • Visteon shall pay the cost of providing post-retirement health and life benefits for Group I and Group II Employees under the Ford Health and Group Life and Disability Insurance Plan (the "Plans") ("OPEB") beginning as of the Benefit Transition Date as provided below.

  • Group II Employees: Group II Employees are those employees engaged in Snow Removal and Ice Control Operations.

  • Group II Employees may be assigned to Maintenance, ENG Field Operations, news Technical Directors, or CMX editing in the off-line production edit suite.

Related to Group II Employees

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Continuing Employee has the meaning set forth in Section 6.7(a).

  • Servicer Employees As defined in Section 2.12.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Eligible Employees means each employee of the Company or an Affiliate.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Key Employees means each of the following individuals: Xxx Xxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx Xxxxxxx.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Regular Employee is one who works on a full-time or part-time basis on regularly scheduled shifts of a continuing nature:

  • Former Employees means a former member of management of Icahn Enterprises (or any of its Subsidiaries (including any Guarantors)), other than the Principal, who voluntarily or upon any other termination is no longer employed by any of Icahn Enterprises or any of its Subsidiaries (including any Guarantors) and who holds Equity Interests that are required to be redeemed or purchased pursuant to any contractual requirements upon such termination of employment.

  • Eligible Participants means persons who, at a particular time, are employees, officers, consultants, or directors of the Company or its subsidiaries;

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Casual Employees means employees who are employed on a casual basis and includes persons who are employed for periods not exceeding five days at any one time.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Non-Highly Compensated Employee means an Employee who is not a Highly Compensated Employee.

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Nonhighly Compensated Employee means an Employee who is not a Highly Compensated Employee.
