Group VII Collateral definition

Group VII Collateral has the meaning given to it in the applicable Series Supplement.
Group VII Collateral means the Master Lease and all payments made thereunder, the Group VII Vehicles, the rights under Vehicle Disposition Programs in respect of Group VII Vehicles, any other Group VII Master Collateral, Master Lease Collateral or other Collateral related to Group VII Vehicles, the Group VII Collection Account and all proceeds of the foregoing.
Group VII Collateral shall have the meaning set forth in the Group VII Supplements.

Examples of Group VII Collateral in a sentence

  • The Issuer may not issue any additional Series of Notes that are entitled to share, together with the Series 2010-3 Notes, in the Group VII Collateral and any other Collateral and Master Collateral designated as security for the Group VII Series of Notes under this Series Supplement and the Master Collateral Agency Agreement.

  • The RCFC Obligations with respect to this Series Supplement shall not be deemed to be fully satisfied for purposes of the Base Indenture, and this Series Supplement shall not terminate, until no Group VII Collateral remains and all of the applicable proceeds thereof have been allocated in accordance with Section 4.7(e).

  • RCFC and DTAG shall take all action necessary to maintain the Trustee’s first priority perfected security interest for the benefit of the Group VII Noteholders in the Group VII Collateral granted pursuant to Section 3.1 of the Base Indenture, Section 3.1 of the Series 2010-3 Supplement and Section 2.1 of the Master Collateral Agency Agreement.

  • Create or permit to exist any Lien with respect to the Group VII Collateral or the Master Lease Collateral now or hereafter existing or acquired, except for Permitted Liens.

  • Each Purchaser Party has reviewed the Base Indenture and other Series Documents (including the schedules and exhibits thereto) and has had the opportunity to perform due diligence with respect thereto and to ask questions of and receive answers from RCFC and its representatives concerning RCFC, the Group VII Collateral, the Series Documents and the Series 2010-3 Notes.

  • In addition, for purposes of Section 4.2(a) of the Base Indenture, the Master Servicer in its capacity as such under the Master Lease shall cause all Collections allocable to Group VII Collateral in accordance with the Indenture and the Master Collateral Agency Agreement, as applicable, to be paid directly into the Group VII Collection Account or the Master Collateral Account, as applicable.

  • The Trustee or the Master Collateral Agent, as applicable, has a first priority perfected security interest in the Group VII Collateral free and clear of all Liens, except for Liens permitted under Section 7.15 of the Base Indenture.

  • The Managing Agents shall have received Uniform Commercial Code financing statements, in proper form for filing, as may be necessary to perfect or evidence the assignment by RCFC to the Trustee of its interests in the Group VII Collateral, the proceeds thereof and the security interests granted pursuant to the Series 0000-0 Xxxxxxxxx and the Master Collateral Agency Agreement.

  • The Managing Agents shall have received Uniform Commercial Code financing statements, in proper form for filing, as may be necessary to perfect or evidence the assignment by RCFC to the Trustee of its interests in the Group VII Collateral, the proceeds thereof and the security interests granted pursuant to the Series 2000-0 Xxxxxxxxx and the Master Collateral Agency Agreement.

  • The Issuer may not issue any additional Series of Notes that are entitled to share, together with the Series 2010-3 Notes, in the Group VII Collateral and any other Collateral and Master Collateral designated as security for the Group VII Series of WEIL:\95390898\1\99910.6247 Notes under this Series Supplement and the Master Collateral Agency Agreement.

Related to Group VII Collateral

  • Priority Collateral means the ABL Priority Collateral or the Term Priority Collateral, as applicable.

  • ABL Collateral means all of the assets and property of any Grantor, whether real, personal or mixed, with respect to which a Lien is granted as security for any ABL Obligations.

  • Notes Priority Collateral has the meaning set forth in the Intercreditor Agreement.

  • Senior Collateral means any “Collateral” as defined in any Credit Agreement Loan Document or any other Senior Debt Document or any other assets of the Borrower or any other Grantor with respect to which a Lien is granted or purported to be granted pursuant to a Senior Collateral Document as security for any Senior Obligations.

  • UCC Collateral is defined in Section 3.03.

  • First Priority Collateral means all assets, whether now owned or hereafter acquired by the Borrower or any other Loan Party, in which a Lien is granted or purported to be granted to any First Priority Secured Party as security for any First Priority Obligation.

  • Hedge Collateral Defined in Section 5.3(b).

  • Term Priority Collateral has the meaning set forth in the Intercreditor Agreement.

  • Mortgage Collateral the “Collateral” as defined in the Mortgage Loan Agreement.

  • Second Priority Collateral means any “Collateral” as defined in any Second Priority Debt Document or any other assets of the Borrower or any other Grantor with respect to which a Lien is granted or purported to be granted pursuant to a Second Priority Collateral Document as security for any Second Priority Debt Obligation.

  • ABL Priority Collateral has the meaning set forth in the Intercreditor Agreement.

  • Additional Collateral Any of the following held, in addition to the related Mortgaged Property, as security for a Mortgage Loan: (i) all money, securities, security entitlements, accounts, general intangibles, payment rights, instruments, documents, deposit accounts, certificates of deposit, commodities contracts and other investment property and other property of whatever kind or description now existing or hereafter acquired which is pledged as security for the repayment of such Mortgage Loan, (ii) third-party guarantees, and (A) all money, securities, security entitlements, accounts, general intangibles, payment rights, instruments, documents, deposit accounts, certificates of deposit, commodities contracts and other investment property and other property of whatever kind or description now existing or hereafter acquired which is pledged as collateral for such guarantee or (B) any mortgaged property securing the performance of such guarantee, or (iii) such other collateral as may be set forth in the Series Supplement.

  • Loan Collateral With respect to any Mortgage Loan, the related Mortgaged Property and any personal property securing the related Mortgage Loan, including any lessor’s interest in such property, whether characterized or recharacterized as an ownership or security interest, and including any accounts or deposits pledged to secure such Mortgage Loan, and any Additional Collateral.

  • Swap Collateral means all right, title and interest of Party B in this Agreement, each Transaction hereunder, and all present and future amounts payable by Party A to Party B under or in connection with this Agreement or any Transaction governed by this Agreement, including, without limitation, any transfer or termination of any such Transaction.

  • U.S. Collateral means any and all property owned, leased or operated by a Person covered by the U.S. Collateral Documents and any and all other property of any U.S. Loan Party, now existing or hereafter acquired, that may at any time be or become subject to a security interest or Lien in favor of the Administrative Agent to secure the Secured Obligations.

  • Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.

  • Foreign Collateral means all Collateral of Foreign Loan Parties securing the Guaranteed Foreign Obligations.

  • Canadian Collateral means any and all property owned, leased or operated by a Person covered by the Canadian Collateral Documents and any and all other property of any Canadian Loan Party, now existing or hereafter acquired, that may at any time be or become subject to a security interest or Lien in favor of the Administrative Agent to secure the Canadian Secured Obligations.

  • Senior Collateral Documents means the Guarantee and Pledge Agreement and the other Security Documents, the First Lien Intercreditor Agreement (upon and after the initial execution and delivery thereof by the initial parties thereto) and each of the security agreements and other instruments and documents executed and delivered by Holdings or any Borrower or other Grantor for purposes of providing collateral security for any Senior Obligation.

  • Borrower Collateral means all of Borrower's now owned or hereafter acquired right, title, and interest in and to each of the following:
