High Net Worth Investors definition

High Net Worth Investors referred to above means:
High Net Worth Investors has the meaning given to it in the SEC Rules;
High Net Worth Investors means an investor with comprehensive knowledge or experience, and complete qualifications in, finance, as provided in the following table:

Examples of High Net Worth Investors in a sentence

  • The Bonds may only be transferred to the following types of Institutional Investors or High Net Worth Investors as defined in the Notification of the SEC No. KorJor.

  • The offering of the Bonds is an offering of which the full amount of the Bonds is offered only to Institutional Investors and High Net Worth Investors.

  • The Lead Arranger will allocate the Bonds to subscribers who are qualified as Institutional Investors or High Net Worth Investors only.

  • Bondholders thus will not be able to sell or transfer the Bonds to any person other than those qualified as the Institutional Investors or High Net Worth Investors referred to above.

High Net Worth Investors means investors who are not Institutional Investors and have the following characteristics:
High Net Worth Investors referred to above means investors who have full knowledge and experience in (1) and qualifications of financial status in (2) or (3) as follows:
High Net Worth Investors as defined in clause 3(2)(a) or clause 3(2)(c) of the Notification of the Securities and Exchange Commission No. KorChor. 5/2552 re: Determination of Definitions in Notifications relating to Issuance and Offer for Sale of Debt Securities dated 13 March 2009 (as may be amended, supplemented or replaced) and in accordance with the categories and characteristics as defined in clause 5 or clause 7 of the Notification of the Securities and Exchange Commission No. KorChor. 39/2564 re: Determination of the Definitions of Institutional Investors, Ultra-high Net Worth Investors and High Net Worth Investors dated 24 December 2021 (as may be amended, supplemented or replaced) (the “Qualified Investors”), and the Issuer has registered a transfer restriction with the SEC Office to limit any transfer of the Bonds to be within the group of Qualified Investors, as required under the applicable laws and regulations.

Related to High Net Worth Investors

  • Co-Investors means each of (a) the Fund and the Fund Affiliates (excluding any of their portfolio companies) and (b) the Management Group.

  • PIPE Investors means those certain investors participating in the PIPE Investment pursuant to the Subscription Agreements.

  • Net Worth means, with respect to any Person, an amount equal to, on a consolidated basis, such Person’s stockholder equity (determined in accordance with GAAP).

  • Target Net Working Capital means $0.

  • Tangible Net Worth means, as of any date, (a) Total Asset Value minus (b) the sum of (i) Consolidated Total Debt and (ii) to the extent included in the calculation of Total Asset Value, goodwill and other intangible assets (other than deferred leasing intangibles).

  • Net Working Capital means, at any time, Consolidated Current Assets at such time minus Consolidated Current Liabilities at such time.

  • Initial Investment : means the amount that you initially subscribed to invest into the Plan.
