Each of New NGC Entities and HII Entities will use reasonable best efforts to prevent the destruction of any Insurance Policy, to notify the other Group of the proposed destruction of any Insurance Policy, and to give such other Group reasonable opportunity to take possession of such Insurance Policy prior to such destruction.
Seller Entities means, collectively, Seller and all Seller Subsidiaries.
PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:
Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
Transferred Entities means the entities set forth on Schedule 1.9.
Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.
Acquired Companies means, collectively, the Company and the Company Subsidiaries.
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
Acquired Entities means the Company and the Acquired Subsidiaries.
Company Entities means the Company and its Subsidiaries.
Target Companies means the Target and its Subsidiaries.
Seller Parties has the meaning set forth in the preamble to this Agreement.
Parent Entities means, collectively, Parent and all Parent Subsidiaries.
Group Companies means the Company and its Subsidiaries.
Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.
Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.
Company Subsidiaries means the Subsidiaries of the Company.
Released Entities means released entities as such term is defined
Buyer Group Member means (a) Buyer and its Affiliates, (b) directors, officers and employees of Buyer and its Affiliates and (c) the successors and assigns of the foregoing.
Partnership Entities means the General Partner and each member of the Partnership Group.
Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
Parent Subsidiaries means the Subsidiaries of Parent.
Seller Affiliates has the meaning assigned to such term in Section 2.7.1;
Bank Entities is defined in Section 12.9.
Transferred Subsidiaries shall have the meaning set forth in the Recitals.
Buyer Parties means Buyer, its Affiliates, their members, officers, directors, employees, agents, representatives, successors, and assigns.
Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.
