Hive Down definition

Hive Down shall have the meaning given to such term in paragraph 23.1 of the Implementation Plan.

Hive Down means the contribution by Essilor of substantially all of its activities (subject to the apport-scission regime) into one of its wholly-owned subsidiary named Delamare Sovra and renamed “Essilor International” as from the Closing Date of the Hive-Down. The Hive-Down closed on November 1, 2017 (the “Closing Date of the Hive-Down”);

• The “Dirección General de Aviación” (in respect of Iberia) have confirmed that the Nationality Structure, following its implementation as described in this Document, will comply with the requirements to treat Iberia Opco, after the Hive Down, as a Spanish airline for the purposes of bilateral conventions.

• The SMC shall render binding recommendations to the AF Board (or the AFOP Board subsequent to the Hive Down), the KL MB and the KL Supervisory Board.
