HK Share Charge definition

HK Share Charge means the Share Charge dated as of Eleventh Amendment Closing Date, made by JAKKS, JAKKS Hong Kong and JAKKS Pacific (Asia) Limited in favor of Agent for the benefit of Secured Parties in respect of all the issued shares in the HK Credit Parties, as the same may be amended, restated, supplemented or otherwise modified from time to time.
HK Share Charge means a share charge dated on or about the date hereof between the Borrower and the Security Agent in respect of the Collateral Shares.

  • The Facility Agent shall have received (i) an executed counterpart of each of the HK Deed of Charge and HK Share Charge, (ii) all documents to enable registration of the HK Deed of Charge with the Hong Kong Companies Registry and, if applicable, filing of a UCC Financing Statement in respect of the Share Mortgage in Delaware in the United States of America and (iii) a signed confirmation letter from each licensor, lessor or landlord as referred to in clause 5.4 of the HK Deed of Charge.

  • The pledge and all collateral covered by the HK Share Charge (including the Pledged Interests) shall be governed by the terms of the HK Share Charge, and not by this Pledge Agreement, solely to the extent that such collateral is duly and validly pledged and perfected under the HK Share Charge.

Related to HK Share Charge

  • Share Charge shall have the meaning provided in Section 5.06.

  • Per Share Cash Consideration has the meaning set forth in Section 3.01(a)(ii).

  • Per Share Consideration means (i) if the consideration paid to holders of the Common Stock consists exclusively of cash, the amount of such cash per share of Common Stock, and (ii) in all other cases, the volume weighted average price of the Common Stock as reported during the ten (10) trading day period ending on the trading day prior to the effective date of the applicable event. If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.

  • Share Consideration has the meaning given to it in Section 2.2;

  • Per Share Cash Amount for purposes of this Section 2(b) means an amount equal to the sum of (I) the average of the closing price of the Common Stock for the 20 trading days immediately preceding the date of the Change in Control and (II) any cash dividend payable on a share of Common Stock during the 20 trading-day period described in the foregoing. If settlement of the Performance Share Units may not be made within the period specified in this Section 2(b) due to the limitation in Section 14(t)(iii)(A) of the Plan, such settlement shall be made in accordance with Section 5 of the Agreement.

  • Hire Charge or “Hire Charges” means the rates and charges payable by You for the hire of the Equipment.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Shares Pledge means the first priority pledge of the shares of and in each Owner required to be executed at any time under clause 8.1.19 by the Shareholder in favour of the Security Trustee and/or a Lender in such form as the Agent and the Majority Lenders may require in their sole discretion and in the plural means all of them;

  • Share Company means the Share Company specified in the Table.

  • Per Share Merger Consideration has the meaning set forth in Section 3.1(a).

  • Capital stock tax means a tax measured in any way by the capital of a corporation considered in its entirety.

  • Existing Shares means, with respect to the Stockholder, the number of Company Shares Beneficially Owned and/or owned of record by the Stockholder as of the date hereof, as set forth on Schedule A.

  • Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 1 Pubco Share for 5.4935 Priveco Shares;
