Indenture Agent definition

Indenture Agent means The Bank of New York Mellon Trust Company, N.A., in its capacity as Collateral Agent (as defined in the Indenture) and Trustee (as defined in the Indenture) under the Indenture, in each case, together with its successors in such capacity.
Indenture Agent means any Registrar, co-registrar, Paying Agent or additional paying agent.
Indenture Agent has the meaning set forth in the recitals.

  • If less than all of the Securities are to be redeemed at the option of the Company, DTC will select the Securities (or portions thereof) to be redeemed, in the case of Global Securities, and the Indenture Agent will select the Securities to be redeemed pro rata, by lot or in such manner as it deems fair and appropriate, in the case of Securities in definitive form.

  • This Guarantee shall not be valid or obligatory for any purpose until the certificate of authentication of such Security shall have been manually executed by or on behalf of the Indenture Agent under such Indenture.
