If less than all of the Securities are to be redeemed at the option of the Company, DTC will select the Securities (or portions thereof) to be redeemed, in the case of Global Securities, and the Indenture Agent will select the Securities to be redeemed pro rata, by lot or in such manner as it deems fair and appropriate, in the case of Securities in definitive form.
This Guarantee shall not be valid or obligatory for any purpose until the certificate of authentication of such Security shall have been manually executed by or on behalf of the Indenture Agent under such Indenture.
If required by the Trustee or the Company, an indemnity bond must be supplied by the Holder that is sufficient in the judgment of the Trustee and the Company to protect the Company, the Trustee, any Indenture Agent and any authenticating agent from any loss that any of them may suffer if a Note is replaced.
An authenticating agent has the same rights as an Indenture Agent to deal with Holders or an Affiliate of the Company.
To the extent that the foregoing provisions are not complied with for any reason, without limiting any other rights and remedies available to the ABL Secured Parties, the Indenture Agent and the other Indenture Secured Parties agree that any amounts received by or distributed to any of them pursuant to or as a result of Liens granted in contravention of this Section 3.4 shall be subject to Section 5.1.
