Independent IP of a party (including a third party) means any Software, documents, materials, processes and other works of authorship that either (i) were created by or for the party prior to the Effective Date, or (ii) are subsequently created by or for the party outside the scope of and independent from this Agreement; and thereby have not been created specifically for Health Net hereunder.

Independent IP has the meaning given such term in Section 9.10.

More Definitions of Independent IP

Independent IP means Supplier’s patent, copyright, and other proprietary rights in all information systems and technology, Software, processes, efforts and methods, forms, procedures, data formats, data gathering and retrieval systems and methods, program names, designs and manuals and other proprietary or copyrighted material which exist prior to the Effective Date.

Independent IP means, for each Party, IP that (1) is in existence and owned or controlled by a Party prior to the Effective Date, or (2) is conceived or obtained by a Party after the Effective Date entirely independently of any work or services performed, or information exchanged, in connection with this Agreement. Independent IP shall not include any JJC IP, Joint IP or Palomar IP. Solely for purposes of the definitions in the foregoing numbered paragraphs, (a) reference to JJC and Palomar for purposes of conception and reduction to practice shall include employees and agents of each of them, and any other Third Party(ies) acting as a subcontractor for them or otherwise on their behalf, and (b) the filing of a Patent application shall not serve to constitute a reduction to practice, and in the absence of an actual (as opposed to constructive) reduction to practice for any Patent application, such application and the inventions disclosed therein shall be treated as having been reduced to practice by the conceiving Party.

Independent IP means, with respect to a Party: (i) all Intellectual Property owned by such Party, solely together with any unaffiliated third party other than the other Parties, as of the date hereof, and (ii) any and all Intellectual Property created by such Party, solely or together with any unaffiliated third party other than the other Parties, or acquired by such Party after the date hereof (including pursuant to the provisions of this Agreement).
