Initial Appraisers definition

Initial Appraisers means Aircraft Information Services, Inc., BK Associates, Inc. and Airclaims Limited.

Initial Appraisers has the meaning set forth in Section 16.3(d).

• If the Third Appraiser’s preliminary fair market value is within the middle one-third of the range of values between the preliminary fair market values of the Initial Appraisers (the “Mid-Range”), then the fair market value shall be equal to the preliminary fair market value of the Third Appraiser.

• If the Members cannot agree on a Final Appraiser within three Business Days, the two Initial Appraisers shall select the Final Appraiser within three Business Days thereafter.

• In the event that the fair market values determined by the Initial Appraisers (collectively, the "Original Estimates") do not differ in amount by more than 10 percent, the fair market value for purposes of this Section 5.3 shall be the amount equal to the average of the Original Estimates.

More Definitions of Initial Appraisers

Initial Appraisers. As defined in SCHEDULE 3.1.

Initial Appraisers means, collectively, (a) BK Associates, Inc. (as it relates to appraisals of any Cargo Business Assets or any Frequent Flyer Program Assets); (b) Ocean Tomo, LLC, (as it relates to any Intellectual Property); (c) mba Aviation (as it relates to Slots and Routes); (d) ICF SH&E Limited (as it related to Slots and Routes); and (e) AVITAS, Inc. (as it relates to Aircrafts and Engines).

Initial Appraisers means any of or all of (as the context may require) Airclaims, Ltd., AVITAS, Inc., BK Associates, Inc. and International Bureau of Aviation, Ltd.

Initial Appraisers has the meaning specified in Section 6.5(d)(i). “Insurance Policies” has the meaning specified in Section 4.23. “Intellectual Property” collectively, (a) all inventions (whether patentable or unpatentable and whether or not reduced to practice) and all letters patent (including utility and design patents) and pending applications for patents of the United States and all other countries, all utility models, industrial models, industrial designs, and all reissues, reexamination certificates, post-issuance certificates, divisionals, continuations, continuations-in-part, renewals, and extensions thereof; (b) all trademarks, service marks, certification marks, trade names, trade dress, logos, business names, other designations of origin (“Trademarks”) and all goodwill associated therewith, and Internet domain names registrations, and all applications, registrations, and renewals in connection therewith; (c) all published and unpublished works of authorship (whether or not registered or registerable), including without limitation audiovisual works, collective works, Software and computer programs (whether in source code, object code, or executable form), documentation, compilations, databases, derivative works, literary works, and sound recordings, and all applications, registrations and renewals in connection therewith, and rights of attribution and integrity and other moral rights of an author (collectively, “Copyrights”); (d) all mask works and all applications, registrations, and renewals in connection therewith; (e) all trade secret rights and corresponding rights in Confidential Information and other non-public information (whether or not patentable), including discoveries, ideas, formulas, compositions of matter, methods, processes, Software and computer programs (whether in source code, object code, or executable form), algorithms, data structures, system architecture diagrams, flowcharts, databases, data collections, circuits, systems, devices, inventor’s notes, discoveries and improvements, know how, manufacturing and production processes and techniques, testing information, research and development information, inventions, invention disclosures, unpatented blueprints, drawings, specifications, designs, plans, proposals and technical data, business and marketing plans, market surveys, market know-how and customer lists and information; (f) all copies and tangible embodiments of the foregoing (in whatever form or medium); and (g) all rights in, arising ...
