Interface Development Schedule definition

Interface Development Schedule means the written schedule attached hereto as Exhibit C (as revised from time to time) developed and mutually agreed upon by DealerTrack and Lender which sets forth the tasks and respective responsibilities of the parties relating to the development of the Interface, and the timeframes for accomplishing such tasks. The Interface Development Schedule shall be in the form of the Interface Development Schedule Exhibit attached to the Agreement, unless otherwise revised by mutual agreement of the parties.
Interface Development Schedule means the written schedule, if any, attached hereto as Exhibit A (as revised from time to time in accordance with the terms herein), developed and mutually agreed upon by DealerTrack and CMSI which sets forth the tasks and respective responsibilities of the parties relating to the development of the Interface, and the timeframes for accomplishing such tasks. (ii) "Interface Development Schedule Commencement Date" shall have the meaning set forth in Section 3(a). (jj) "Lender Requirements Document" means the document(s) (as revised from time to time by DealerTrack, in its sole discretion) provided by DealerTrack to CMSI describing the technical and business requirements, which CMSI must meet in order to facilitate CMSI's and each CMSI Financial Institution's utilization of the Service. (kk) "Personnel" will have the meaning set forth in Section 14. (ll) "Proceeding" will have the meaning set forth in Section 15. (mm) "Receiving Party" will have the meaning set forth in Section 14. (nn) "Service" means (a) the Basic Service; (b) any additional services DealerTrack decides, in its sole discretion, to add to the Basic Service, and (c) any Additional Product governed by an Addendum to which 3 <PAGE> Shared Financial Institutions and DealerTrack are parties, and subject to any payment and other terms and conditions in such Addendum. (oo) "Shared Financial Institutions" means any CMSI Financial Institution which is a DealerTrack Financial Institution. (pp) "User" shall mean any employee or agent of a Shared Financial Institution that is authorized to use the Service in accordance with the applicable DealerTrack Lender Agreement and Section 6(g).

Examples of Interface Development Schedule in a sentence

  • The foregoing notwithstanding, unless otherwise agreed in writing, DealerTrack shall not be required to incur any expenses or costs in connection with such cooperation to the extent that such cooperation requires its involvement in any tasks other than those specifically set forth in the Interface Development Schedule.

  • If the space provided in the box entitled “Description of Outstanding Notes Tendered” above is inadequate, the principal amounts of the Outstanding Notes being tendered should be listed on a separate signed schedule affixed hereto.

  • Immediately after the Effective Date, both parties shall consult with each other on a continuing basis and as reasonably necessary to finalize the Interface Development Schedule, with the objective of finalizing the Interface Development Schedule as soon as possible, and no later than thirty (30) days after the Effective Date.

  • The parties shall use their best efforts to cause the Acceptance Date to occur by the earlier of (i) one hundred and twenty (120) days after the Interface Development Schedule Commencement Date, or (ii) one hundred and fifty (150) days after the Effective Date.

  • Upon finalization and execution by the parties of the Interface Development Schedule, the Interface Development Schedule shall become a part of this Agreement as Exhibit C and shall be binding on both parties.

  • The form of the Interface Development Schedule shall set forth the respective responsibilities of each party relating to the development of the Interface.

  • To finalize the Interface Development Schedule with respect to development of the Interface for Lender, the parties shall establish the date on which they shall commence work on their respective responsibilities (the "Interface Development Schedule Commencement Date") 5 of 49 and the schedule for completion of such responsibilities.

  • Both parties shall proceed with their respective responsibilities as set forth in the Interface Development Schedule in a diligent manner and shall use commercially reasonable efforts to allocate such skilled personnel and other resources to the project as shall be necessary to complete the development of the Interface so that the Acceptance Date occurs according to Exhibit C.

  • The Interface Development Schedule with respect to development, testing and acceptance of the Interface for Lender, the parties have established the date on which they shall commence work on their respective responsibilities (the "Interface Development Schedule Commencement Date") and the schedule for completion of such responsibilities.

Related to Interface Development Schedule

  • Development Schedule shall have the meaning set forth in Section 1.1.

  • site development plan means a dimensioned plan drawn to scale that indicates details of the proposed land development, including the site layout, positioning of buildings and structures, property access, building designs and landscaping;

  • Statement of Work means the description of activities performed in completing the Project, as specified in the Contract and as may be amended.

  • Project Plan means the document to be developed by the Contractor and approved by WTL, based on the requirements of the Contract and the Preliminary Project Plan included in the Contractor’s bid. For the sake of clarity, the Agreed and Finalized Project Plan” refers to the version of the Project Plan submitted by the contractor after receiving the letter of Award and the same approved by WTL. The project plan may be changed/ modified during the course of the project. Should the Project Plan conflict with the provisions of the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail.

  • local spatial development framework means a local spatial development framework contemplated in section 9;

  • spatial development framework means the Mhlontlo Municipal Spatial Development Framework prepared and adopted in terms of sections 20 and 21 of the Act and Chapter 2 of this By-Law;

  • Development Plan has the meaning set forth in Section 3.2.

  • Product Schedule means a product schedule documenting the specific terms and conditions applying to a Product as may be amended, updated or replaced from time to time (and includes any Electronic Platform Schedules);

  • Project Deliverables means the Project deliverables set out in Schedule 2. Project Material means all the material including but not limited to documents, computer software, and data stored by any means which is created by the Fellow in the course of undertaking the Project.

  • Multiregional Modeling Working Group or “MMWG” shall mean the NERC working group that is charged with multi-regional modeling.

  • Technical Support Services means the technical support and maintenance Services provided by us according to our then-current technical support policy and procedure listed at xxxxxxxxxxxxx.xxx (“Technical Support Policy”) when the Services are purchased.

  • MSAA Indicator Technical Specifications document means, as the context requires, either or both of the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Indicator Technical Specifications November 5, 2018 Version 1.3” and the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Target and Corridor-Setting Guidelines” as they may be amended or replaced from time to time;

  • Initial Development Plan has the meaning set forth in Section 3.2(b).

  • Contract Schedule means a schedule to this Contract;

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • Work Order means an individually negotiated document that is executed by both Parties and which authorizes a Project, if any, in an indefinite quantity Contract.

  • Support and Maintenance Services means the support and maintenance services described in Section 1 of these Support Terms.

  • Deliverables means the goods, services, and work product, including all reports and project documentation, required to be provided by Grantee to the System Agency.

  • Scope of Works means the sections of the RFQ detailing the technical requirements of the work to be carried out as existing at the Date of Acceptance of the Quotation and any modification of such Works thereafter directed or the use of which has been permitted by the Superintendent for the purposes of the Contract.

  • Construction Phase Services means the coordination, implementation and execution of the Work required by this Agreement, which are further defined in Article 8.

  • Work Plan means a plan that describes each individual activity to be conducted to complete eligible activities and the associated costs of each individual activity.

  • The Project Plan means the document to be developed by the Supplier and approved by the Purchaser, pursuant to GCC Clause 19, based on the requirements of the Contract and the Preliminary Project Plan included in the Supplier’s bid. The “Agreed and Finalized Project Plan” is the version of the Project Plan approved by the Purchaser, in accordance with GCC Clause 19.2. Should the Project Plan conflict with the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail.

  • Project Scope means the description or activity of work to be accomplished on the Project.
