The Company shall reimburse Investor Directors and Investor Observers for all reasonable out-of-pocket expenses incurred in connection with Board duties and meetings, up to US$20,000 per calendar year per Investor Director or Investor Observer.
You agree that there are no rights or privileges whatsoever arising from your status as an Investor Observer and agree to abide with the limitations on observation rights contained herein and in the Investor Rights Agreement.
Confidential Information shall mean all material non-public written or verbal information regarding the Company provided to or learned by an Investor Observer in connection with such Investor Observer’s attendance, or an invitation to attend, any meeting of the Board or committee thereof.
Such Information may or may not be known by the director representing the Investor (“Investor Director”) or Investor Observer.
The Corporation agrees to reimburse each of the directors elected to the Corporation's Board of Directors (and any Investor Observer) for their reasonable out-of-pocket travel and lodging expenses incurred attending Board of Directors' meetings and performing their respective obligations and responsibilities to the Corporation.
