Investor Representatives definition

Investor Representatives has the meaning set forth in Section 2.5.

Investor Representatives shall refer to the individuals elected by Investor Partners who shall serve as representatives of the Investor Partners. The first five (5) Investor Partners who acquire at least a four percent (4%) Partnership Interest shall be entitled to designate one (1) Investor Representative; provided that there be no more than five (5) Investor Representatives unless the then existing Investor Representatives elect to expand the number of Investor Representatives to a total of up to nine (9). It is agreed that as long as an original Investor Partner owns at least an eight percent (8%) Partnership Interest as a result of its merger, or the merger of an Affiliate, with another Investor Partner, then the original Investor Partner shall be entitled to designate two (2) Investor Representatives who shall each have the rights and obligations set forth in the Partnership Agreement.

Investor Representatives means the members of the Board of Directors of GP designated by Swank and ACM or their successors pursuant to the terms of the Investors' Rights Agreement.

Examples of Investor Representatives in a sentence

• An Investor shall be responsible for any breach of this Section 5.1(a) by any of its Investor Representatives.

• Each Investor and its respective Investor Representatives shall conduct any investigation under this Section 5.1(a) in a manner that does not unreasonably interfere with the conduct of the business of Parent and its Subsidiaries.

• Neither HM nor the Investor Representatives has guaranteed nor shall have any obligation with respect to the return of a Partner's Capital Contribution or profits from the operation of the Partnership.

More Definitions of Investor Representatives

Investor Representatives has the meaning given in Clause 3.2.2.

Investor Representatives means the MSPE Representative, the Series C Representative, the Largest Existing Investor Representative, the Second Largest Existing Investor Representative and the Third Largest Existing Investor Representative, and “Investor Representative” means any one of them.

Investor Representatives means the Investor on behalf of itself, predecessors, successors, agents, brokers, affiliates, consultants, subrogees, insurers, representatives, employees, owners, personal representatives, legal representatives, officers, directors, fiduciaries, board of directors, assigns and successors in interest of assigns, and any firm, trust, corporation, partnership, investment vehicle, fund or other entity managed or controlled by the Investor.

Investor Representatives means each of Apax Managers, Inc. and Apax Partners Europe Managers Ltd.

Investor Representatives means five (5) individuals elected by the Investor Limited Partners in accordance with Section 5.13.

Investor Representatives means Alerian and Swank; provided however, that if either Investor Representative, together with its Affiliates no longer holds at least 500,000 Common Units, such Investor Representative shall cease to be an Investor Representative; and provided further, however, that if both Investor Representatives, together with their respective Affiliates, no longer hold at least 500,000 Common Units, replacement Investor Representative shall be chosen by a Majority of Investors.
