Joint Arranger definition

Joint Arranger and “Joint Arrangers” mean, individually or collectively as the context requires, each of Xxxxx Fargo Securities, LLC, Barclays Bank PLC, and UBS Securities LLC in their respective capacities as joint lead arrangers and joint bookrunners hereunder.
Joint Arranger has the meaning given that term in the introductory paragraph hereof and shall include successors and permitted assigns. “L/C Commitment Amount” equals $30,000,000.
Joint Arranger shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than, if such Person is a Lender, those applicable to all Lenders as such. Without limiting the foregoing, none of the Persons identified on the cover page to this Agreement, the signature pages to this Agreement or otherwise in this Agreement as a “Syndication Agent,” “Documentation Agent” or “Joint Arranger” shall have or be deemed to have any fiduciary duty to or fiduciary relationship with any Lender. In addition to the agreement set forth in Section 11.10, each Lender acknowledges that it has not relied, and will not rely, on any of the Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.
