Joint Program Activities definition

Joint Program Activities means any activities with respect to a Licensed Product conducted by either Party or any of its Affiliates, Sublicensees or Subcontractors during the Term consisting of (a) Development for the purpose of, or in support of, (i) obtaining, maintaining or expanding Regulatory Approval in the Profit-Share Territory of such Licensed Product, or (ii) Commercializing such Licensed Product in the Profit-Share Territory, in each case ((i) and (ii)), in accordance with the corresponding Joint Development Plan for such Licensed Product, (b) Commercialization of such Licensed Product in the Profit-Share Territory in accordance with the corresponding Joint Commercialization Plan for such Licensed Product, (c) Medical Affairs Activities with respect to such Licensed Product in the Profit-Share Territory in accordance with the corresponding Joint Medical Affairs Plan for such Licensed Product or (d) the Manufacture of such Licensed Product for use in any of the activities set forth under clause (a), (b) or (c).
Joint Program Activities means any activities with respect to Product conducted by either Party or any of its Affiliates, Sublicensees or Subcontractors during the Term consisting of (a) Development of the Product in accordance with the Development Plan, including for the purpose of, or in support of, obtaining, maintaining or expanding Regulatory Approval for Product in the Territory in accordance with the Development Plan, (b) Commercialization of the Product in the Field in such Party’s Licensed Territories in accordance with the Commercialization Plan for the Product in such territory, or (c) the Manufacture of the Product for use in any of the activities set forth under clause (a) or (b).

Examples of Joint Program Activities in a sentence

  • If either Party receives notice of a Third Party Claim that is incurred from or is based on any Joint Program Activities, then such Party will inform the other Party in writing as soon as reasonably practicable, and the Parties will discuss a strategy on how to, and which Party will, defend against such Third Party Claim.

  • The Parties’ agreement concerning the Joint Program Commitment and Joint Program Activities is set forth on Schedule 9.3.

Related to Joint Program Activities

  • Development Activities means those activities which are normally undertaken for the development, construction, repair, renovation, rehabilitation or conversion of buildings for residential purposes, including the acquisition of property;

  • Motor Sport Activities means any motor sport activities or Recreational Services which are permitted or approved which CAMS regulates or administers by CAMS or otherwise under the responsibility / control of CAMS;
