JV Transaction Documents definition

JV Transaction Documents means, collectively, the Articles of Incorporation, the PDA Amendment, the Bloom Energy License Agreement and the Trademark License Agreements.
JV Transaction Documents means, collectively, (i) the LLC Sale and Purchase Agreement, (ii) the LLC Operating Agreement, (iii) the Asset Contribution and Sale Agreements, (iv) the JV Supply and Service Agreements, (v) the Purchase Price Loan Agreement, (vi) the Daylight Loan Agreement, (vii) the BGF Loan Agreement, (viii) the Senior Credit Facility, (ix) the BGF Loan, (x) the BGF Bridge Loan Facility, (xi) the BGF Senior Credit Facility and (xii) the Assignment and Assumption Agreement.
JV Transaction Documents means, collectively, this Agreement, the JV Company Constitution, the Loop Technology License Agreement, the Service Agreements, the Marketing Agreement, the JD MOU and such other documents as are customarily entered into concurrently with the formation of an entity similar to the JV Company and/or any other JV Entity.

Examples of JV Transaction Documents in a sentence

  • Each Party shall have audit and inspection rights to all documents pertaining to the JV Business as well as the activities conducted under the JV Transaction Documents to investigate and assess compliance with Anti-Corruption Laws.

  • Execution of the JV Transaction Documents Agreement shall be a condition precedent to adoption of the Articles of Incorporation of the JV Company, and the Members shall, and the Members shall cause the JV Company and its applicable Affiliates to execute the remaining JV Transaction Documents as soon as practicable (but in no event later than 2 Business Days) following the establishment of the JV Company.

  • On the terms and subject to the conditions set forth herein, prior to the establishment and incorporation of the JV Company, Loop Parent shall form, or cause to be formed a direct or indirect subsidiary Controlled and majority-owned by Loop Parent to enter into this Agreement and join the JV Company as a JV Partner (such subsidiary, “Loop”), and effect the transactions contemplated to be consummated by Loop pursuant to this Agreement and the JV Transaction Documents to which Loop is a party.

Related to JV Transaction Documents

  • Other Transaction Documents means the Transaction Documents other than this Agreement.

  • Acquisition Documents means the Acquisition Agreement, all other agreements to be entered into between or among the Acquired Company or its Affiliates and the Borrower or its Affiliates in connection with the Acquisition and all schedules, exhibits and annexes to each of the foregoing and all side letters, instruments and agreements affecting the terms of the foregoing or entered into in connection therewith.

  • Equity Line Transaction Documents means this Agreement and the Registration Rights Agreement.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Transaction Documents means this Agreement, the Warrants, all exhibits and schedules thereto and hereto and any other documents or agreements executed in connection with the transactions contemplated hereunder.

  • Permitted Acquisition Documents means with respect to any acquisition proposed by the Borrower or any Subsidiary Guarantor, final copies or substantially final drafts if not executed at the required time of delivery of the purchase agreement, sale agreement, merger agreement or other agreement evidencing such acquisition, including, without limitation, all legal opinions and each other document executed, delivered, contemplated by or prepared in connection therewith and any amendment, modification or supplement to any of the foregoing.

  • Acquisition Documentation collectively, the Acquisition Agreement and all schedules, exhibits and annexes thereto and all side letters and agreements affecting the terms thereof or entered into in connection therewith.

  • Securitization Documents means all documentation relating to any Permitted Securitization.

  • Application Documents means collectively: (i) the grant application submitted by Grantee, including all exhibits, schedules, appendices and attachments thereto; (ii) all documents, correspondence and other written materials submitted with respect to the grant application; and (iii) all amendments, modifications or supplements to any of the foregoing approved in writing by City.

  • Exception Documents shall have the meaning set forth in Section 4.2.

  • Obligation Documents means the Credit Agreement, the Notes, the Loan Documents, and all other documents and instruments under, by reason of which, or pursuant to which any or all of the Secured Obligations are evidenced, governed, secured, or otherwise dealt with, and all other agreements, certificates, and other documents, instruments and writings heretofore or hereafter delivered in connection herewith or therewith.

  • Permitted Securitization Documents means all documents and agreements evidencing, relating to or otherwise governing a Permitted Securitization Financing.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Transaction Agreements means the Securities Purchase Agreement, the Debentures, the Joint Escrow Instructions, the Security Agreement, the Registration Rights Agreement, and the Warrants and includes all ancillary documents referred to in those agreements.

  • Transaction Agreement has the meaning set forth in the recitals.

  • Depositor’s Formation Documents means the Certificate of Formation of Nissan Auto Leasing LLC II, dated as of October 24, 2001 and the Limited Liability Company Agreement of Nissan Auto Leasing LLC II, dated as of October 29, 2001.

  • Organization Documents means, (a) with respect to any corporation, the certificate or articles of incorporation and the bylaws (or equivalent or comparable constitutive documents with respect to any non-U.S. jurisdiction); (b) with respect to any limited liability company, the certificate or articles of formation or organization and operating agreement; and (c) with respect to any partnership, joint venture, trust or other form of business entity, the partnership, joint venture or other applicable agreement of formation or organization and any agreement, instrument, filing or notice with respect thereto filed in connection with its formation or organization with the applicable Governmental Authority in the jurisdiction of its formation or organization and, if applicable, any certificate or articles of formation or organization of such entity.

  • Transaction Document means any agreement, document, certificate or instrument delivered pursuant to or in connection with this Agreement or the transactions contemplated hereby.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Master Transaction Agreement has the meaning set forth in the recitals.

  • Ancillary Agreements means all agreements, certificates and other instruments delivered or given pursuant to this Agreement.

  • Registered Offering Transaction Documents means this Agreement and the Registration Rights Agreement between the Company and the Investor as of the date herewith.

  • Construction Documents means the plans, specifications, approved change orders, revisions, addenda and other information approved by the City, which set forth in detail the Work to be performed for a construction Project.

  • Related Transactions Documents means the Loan Documents, and all other agreements or instruments executed in connection with the Related Transactions.
