To the Knowledge of the Sellers, no Key Business Employee has notified any of the Acquired Companies that such employee will cancel or otherwise terminate his/her relationship with the relevant Acquired Company, or is being terminated by the relevant Acquired Company.
Further, subject to the immediately following sentence, Consultant shall not otherwise associate in, finance or invest in any business with any Key Business Employee or any former management employees of Seller employed by Purchaser or induce any Key Business Employee or any management employees of Purchaser to terminate his or her employment relationship during such three (3) year period.
The Restructuring as contemplated in Section 5.7 shall be complete, including: (i) the assignment, transfer, conveyance and delivery of the Seller Group’s Transferred Business Assets; (ii) the entering into of the Pre-Closing Restructuring Agreements; and (iii) arrangements with respect to Key Business Employees of the Business of the Seller Group being made pursuant to Section 5.7(d), including any relevant Key Business Employee Agreements.
