Examples of Key Shares in a sentence

  • Any Key Shares deposited pursuant to the Offer may be withdrawn by the Offeree at any time before the expiration of seven (7) days from the opening date of the Offer and Shares tendered in response to the Offer will not be taken up before such 7-day period and the Offer Price will be paid at the time and in the manner set out in paragraph 30 below.

  • Each party shall bear their own costs in respect of the transfer of the Key Shares including JSE cess, JCSD fees, transfer tax and stamp duty (if applicable) and any other charges resulting from the acceptance of the Offer.

  • Nothing in this Contract shall be construed to be a waiver, in whole or in part, of any right, privilege or protection afforded the District or its Board of Directors, officers, employees, servants, agents or authorized volunteers pursuant to the Colorado Governmental Immunity Act, Sections 24-10-101, et seq., C.R.S.

  • Any Key Shares deposited pursuant to the Offer may be withdrawn by the Offeree at any time until the expiration of seven (7) days from the opening of the Offer.

Related to Key Shares

  • Equity Shares means the Common Shares and any shares of any other class or series of the Corporation which may from time to time be authorized for issue if by their terms such shares confer on the holders thereof the right to participate in the distribution of assets upon the voluntary or involuntary liquidation, dissolution or winding up of the Corporation beyond a fixed sum or a fixed sum plus accrued dividends;

  • Company Shares has the meaning set forth in the Recitals.

  • Common Shares means the common shares in the capital of the Company;

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Target Shares means common shares in the capital of Target, as currently constituted;

  • Founders’ Shares means 1,000 shares with a par value of $1 per share, 500 of which were issued to MACRO Securities Depositor, LLC and 500 of which were issued to Claymore Securities, Inc., in exchange for the Initial Deposit.

  • Newco Shares means the common shares in the capital of Newco;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Primary Shares means at any time the authorized but unissued shares of Common Stock or shares of Common Stock held by the Company in its treasury.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Shares means the interests of Shareholders corresponding to the redeemable securities of record issued by the Fund under the Investment Company Act of 1940 that are held by the Intermediary.

  • Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 1 Pubco Share for 5.4935 Priveco Shares;

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;

  • Subco Shares means the common shares in the capital of Subco;

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Amalco Shares means common shares in the capital of Amalco;

  • Investor Shares shall have the meaning given in the Recitals hereto.
