Knowledge Party definition

Knowledge Party means Xxxxx Xxxxxxxx and Xxxxxx Xxxxx.

Knowledge Party means the directors, officers and employees of FBGH and Seller who have Knowledge of the Business and who provided information to the Buyer about the Business, whether verbally, in writing or by providing documents in the Data Room, as part of the due diligence process.

Knowledge Party means any of Ex Xxxxxx, Pxxx Xxxxxx or Mxxxxxxx Xxxxx Dxxxxx.

Examples of Knowledge Party in a sentence

• Seller hereby represents that Seller’s Knowledge Party is the person within Seller’s organization having the most comprehensive knowledge of the matters set forth in Section 8.1 above.

• The knowledge of others shall not be imputed to the Seller Knowledge Party.

• For purposes of this Agreement, references to “Buyer’s knowledge,” “the knowledge of Buyer,” or words of similar import shall be deemed to refer solely to the actual and not constructive knowledge of Buyer’s Knowledge Party.

• The Seller Knowledge Party has no personal duty (imposed or implied) to investigate, inspect or audit any files or documents in the possession or control of Seller, or make any other inquiries, pertaining to the representations or warranties made by Seller in Section 4.1 of this Agreement.

• In no event shall Seller’s Knowledge Party have any liability under this Restated Agreement for any reason.

Knowledge Party is defined in Section 4.4.

Knowledge Party means with respect to any Party, such Party’s (i) Chief Executive Officer, (ii) Chief Scientific or Medical Officer, and (iii) Chief Legal Officer, or any individual employed by the Party who performs such tasks. For clarity, the NRx’s Knowledge Parties include the individuals listed on Schedule 1.33.

Knowledge Party has the meaning specified in Section 7.1(b).

Knowledge Party means Jamie Siminoff and Claire Duval.

Knowledge Party with respect to a particular section of this Agreement, shall mean the Person or Persons whose names are set forth beside the designation of that section below:
