Lessee Guarantee definition

Lessee Guarantee means the guarantee granted on or around the date of this Agreement by the Lessee in favour of the Lender in respect of all amounts owing by the Borrower under this Agreement.
Lessee Guarantee means the Guarantee, substantially in the form of Exhibit E-1 to the Participation Agreement executed and delivered by the Lessee Guarantor to the Administrative Agent for the benefit of the Owner Trustee, the Lessor, the Investors and the Lenders, as the same may be amended, supplemented or otherwise modified from time to time in accordance with the terms thereof or of any other Operative Agreement.
Lessee Guarantee means the Lessee Guarantee dated as of December 27, 2000, given by Guarantor in favor of Administrative Agent and each Participant.

Examples of Lessee Guarantee in a sentence

  • No action permitted hereunder shall in any way affect or impair any Beneficiary's rights or Lessee's obligations under this Lessee Guarantee.

  • Lessee's obligations under this Lessee Guarantee shall be absolute and unconditional irrespective of any circumstance whatsoever which might constitute a legal or equitable discharge or defense of Lessee.

  • Lessee warrants and agrees that each of the waivers set forth in this Lessee Guarantee is made with full knowledge of its significance and consequences and that, under the circumstances, the waivers are reasonable and not contrary to public policy or law.

  • Wherever possible, each provision of this Lessee Guarantee shall be interpreted in such manner as to be effective and valid under Applicable Laws, but if any provision of this Lessee Guarantee shall be prohibited by or invalid thereunder, such provision shall be ineffective only to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the remaining provisions of this Lessee Guarantee.

  • All notices, demands, declarations, consents, directions, approvals, instructions, requests and other communications required or permitted by this Lessee Guarantee shall be in writing and shall be deemed to have been duly given when addressed to the appropriate Person and delivered in the manner specified in Section 9.3 of the Participation Agreement.

  • From and after the Effective Date, the Agent, the Certificate Trustee and the Participants shall look solely to Lessee, in accordance with this Agreement and the Operative Documents, for performance of the Liabilities referred to in the Lessee Guarantee (whether outstanding on the Effective Date or arising thereafter).

  • This Lessee Guarantee shall be binding upon Lessee and upon Lessee's successors and assigns; and all references herein to Lessee shall be deemed to include any successor or successors, whether immediate or remote, to such Person.
