LEVEL DETERMINATION CERTIFICATE means an Officers' Certificate of Borrower delivered on the Closing Date and thereafter in accordance with SECTION 5.1(j) setting forth in reasonable detail the Total Leverage Ratio which is applicable pursuant to the definition thereof as of the date on which such Officers' Certificate is delivered.
