License Option Term definition

License Option Term means, in respect of an Accepted Fab Target, the period starting on the date that the relevant Accepted Fab Target became an Accepted Fab Target and ending on the earlier of (i) the [***]; (ii) the exercise of the License Option in respect of that Accepted Fab Target; and (iii) upon the earlier written notice by Denali of its decision to terminate the License Option Term in respect of such Accepted Fab Target pursuant to Section 14.5.
License Option Term means the period from which a work plan for a product is approved by Momentum pursuant to the Development Agreement until the end of the earlier of (i) the thirtieth (30th) day after such Momentum Product becomes a Generally Available Product or (ii) the expiration of the Purchase Option.
License Option Term shall have the meaning provided in Section 3.2.

Examples of License Option Term in a sentence

  • During the License Option Term, on a Program-by-Program basis, Merus hereby grants to Gilead a non-exclusive, non-transferable (except as set forth in Section 13.5) license under the Merus IP and the Merus Platform Patents solely to conduct the activities assigned to Gilead under the applicable Research Plan [***] to evaluate the Candidates and each Option Data Package, solely to determine whether to exercise the License Option with respect to such Program.

  • Option Term means a period, if any, through which this Agreement may be or has been extended by the JBE.

  • Licensed premises or “premises” means all rooms, enclosures, contiguous areas, or places susceptible of precise description satisfactory to the administrator where alcoholic beverages, wine, or beer is sold or consumed under authority of a liquor control license, wine permit, or beer permit. A single licensed premises may consist of multiple rooms, enclosures, areas, or places if they are wholly within the confines of a single building or contiguous grounds.

  • Automatic Renewal Term has the meaning set forth in Section 10(a) hereof.
