Liquidating Share definition

Liquidating Share means, with respect to any retiring, deceased, dissolved, bankrupt or incompetent Partner, the aggregate value of the Capital Account(s) that relate to all of such Partner's Interest(s) as of the date in question after giving effect to all adjustments thereto, including the payment of any accrued Management Fee and allocation of any accrued Performance Allocation with respect to such Capital Account(s).
Liquidating Share when used with respect to any retiring, deceased, bankrupt or legally incapacitated Partner, shall mean the Capital Account of such Partner on the date in question after giving effect to all adjustments thereto.
Liquidating Share means, with respect to a Limited Partner required to retire from the Partnership pursuant to Section 8.3 hereof, or a General Partner removed from the Partnership pursuant to Section 10.1 hereof, the Capital Account of such Partner as of the date of retirement or removal, as the case may be, after giving effect to all adjustments thereto.

More Definitions of Liquidating Share

Liquidating Share with respect to any Partner, means an amount, determined as of the date of the termination and dissolution of the Partnership, to be distributed to that Partner pursuant to the provisions of clause 14.3;
