LTD Recipient definition

LTD Recipient means a Business Employee who is receiving long-term disability benefits as of the Closing.
LTD Recipient is defined in Section 11.7.
LTD Recipient has the meaning set forth in Section 6.6.

  • For the avoidance of doubt, in the case of any Starz LTD Recipient who is able to return to employment following the commencement of long-term disability benefits under a New Lionsgate Welfare Plan, Starz shall comply with any requirements relating to such employment rights of such Starz LTD Recipient and such obligations and any related Liabilities shall be obligations and related Liabilities of the Starz Group.

  • Starz LTD Recipient shall mean any individual who is otherwise a Starz Group Employee or Former Starz Group Employee but is receiving long-term disability benefits under a New Lionsgate Welfare Plan at the Separation Effective Time.

  • If any LTD Recipient recovers from his or her disabling condition, Parent and its Affiliates shall have no obligation to offer or provide any employment to such LTD Recipient.

  • Buyer shall indemnify Sellers and their Affiliates for any liability arising from the termination of employment of, employment of or the failure or refusal to employ, reactivate or reemploy any Transferred Employee or LTD Recipient after the Closing.

  • Nothing herein shall require Buyer or the Company or its Subsidiaries to reemploy an LTD Recipient, except that to the extent an LTD Recipient has a right to re-employment, reinstatement or reactivation by Parent or an Affiliate, Buyer or the Company or its Subsidiaries shall offer employment to such LTD Recipient.

  • If any LTD Recipient does not recover from his or her disabling condition and return to active service within six (6) months of the Closing Date, Seller Parent and its Affiliates shall continue to cover such LTD Recipient under a Parent LTD Plan and the Buyer, Company and Subsidiary shall have no obligation to offer to provide employment to such LTD Recipient.

  • If any LTD Recipient recovers from his or her disabling condition, Seller and its Affiliates shall have no obligation to offer or provide any employment to such LTD Recipient, however, Seller and its Affiliates shall continue to employ any Person who would have been an LTD Recipient except for their remaining an employee of Seller or its Affiliates.

  • A Transferred Employee described in the preceding sentence shall be identified by Seller in Schedule 6.1(a)(ii) as an "LTD Recipient." LTD Recipients shall be treated as Transferred Employees under this Agreement as described in Section 6.8 and, as such, shall be subject to all of the provisions of this Agreement governing the benefits of Transferred Employees, except to the extent specifically provided otherwise in this Agreement.
