Management Personnel Costs definition

Management Personnel Costs means (i) accrued salaries, bonuses and other compensation of, and expense and tax reimbursements to, Management Personnel and (ii) other costs of Holdings or any of its Subsidiaries (other than the Borrower and its Subsidiaries) in each case directly arising from the employment of such Management Personnel.
Management Personnel Costs means the salaries and benefits of the following personnel employed by a Member and appointed or provided by such Member (or if such personnel are not dedicated full time to the Company or the Project, a reasonable allocation of such salaries and benefits), together with the costs of such other administrative services as such Member deems necessary to support such personnel: (i) personnel designated by such Member to serve as Officers and Representatives of the Company and its subsidiaries; and (ii) such personnel as such Member deems appropriate to undertake oversight of the assets, liabilities, and business affairs of the Company and its subsidiaries.
Management Personnel Costs means the sum of all direct and reasonably allocated portions of indirect labor costs of Management Personnel, as determined in accordance with the Cost Allocation Manual.

  • Unless otherwise provided in the Contract Documents, the Interior Contractor/Vendor shall provide and pay for all labor, materials, furniture, furnishings and equipment, tools, installation equipment and machinery, transportation and other facilities and services necessary for the proper execution and completion of the Work, whether temporary or permanent and whether or not incorporated or to be incorporated in the Work.

  • Service Provider shall, upon request, furnish to Owner invoices and other documents and records substantiating all Management Expenses and Management Personnel Costs billed to or paid by Service Provider on behalf of Owner under this Agreement.

Related to Management Personnel Costs

  • Personnel Costs means the costs of researchers, technicians and other supporting staff to the extent employed on the relevant project or activity;

  • Key Management Personnel means persons having authority and responsibility for planning, directing and controlling the activities of the Company, directly or indirectly, including any Director (whether executive or otherwise) of the Company;

  • Senior Management Personnel means personnel of the company who are members of its core management team excluding Board of Directors. Normally, this would comprise all members of management one level below the executive directors, including all functional heads.

  • Management Expenses means the Management Expenses more particularly described in Clause 10.1;

  • Utilization management section means “you or your authorized representative.” Your representative will also receive all notices and benefit determinations.

  • Property Management Fee means the fee payable to the Manager for its day-to-day management of the Property pursuant to the Management Agreement.

  • Investment Personnel means: (a) Portfolio Managers and other Advisory Persons who provide investment information and/or advice to the Portfolio Manager(s) and/or help execute the Portfolio Manager's(s') investment decisions, including securities analysts and traders; (b) any natural person in a control relationship to the Fund who obtains information concerning recommendations made to the Fund with regard to the purchase or sale of a security; and (c) certain other individuals as designated by the Compliance Officer.

  • Stormwater management BMP means an excavation or embankment and related areas designed to retain stormwater runoff. A stormwater management BMP may either be normally dry (that is, a detention basin or infiltration system), retain water in a permanent pool (a retention basin), or be planted mainly with wetland vegetation (most constructed stormwater wetlands).

  • Travel costs ’ means expenses for transportation, lodging, subsistence (meals and incidentals), and related expenses incurred by employees who are on travel status on official business of the recipient for any travel outside the country in which the organization is located. “Travel costs” do not include expenses incurred by employees who are not on official business of the recipient, such as rest and recuperation (R&R) travel offered as part of an employee’s benefits package that are consistent with the recipient’s personnel and travel policies and procedures.

  • Management Area means the land and waters to which this Act applies by operation of section 4, and includes any land the subject of an agreement under section 11(1)(a);

  • Administrative Costs means all costs and expenses associated with providing notice of the Settlement to the Settlement Class and administering and carrying out the terms of the Settlement.

These Company Reimbursable Costs shall include, without limitation, the actual expenses for labor (including, without limitation, internal labor), services, materials, subcontracts, equipment or other expenses incurred in the execution of the Company Work, all applicable overhead, overtime costs, all federal, state and local taxes incurred (including, without limitation, all taxes arising from amounts paid to Company that are deemed to be contributions in aid of construction), all costs of outside experts, consultants, counsel and contractors, all other third-party fees and costs, and all costs of obtaining any required permits, rights, consents, releases, approvals, or authorizations acquired by or on behalf of Company, including, without limitation, the Required Approvals.

  • Management Team means Xxxxxx X. X’Xxxxxxx, Xxxxxxx X. Xxxxxx, Xx. and Xxxxx X. Xxxxxxxxxx.

  • Prime costs and “Prime cost sum” means the amount actually paid by the contractor for any article, commodity or special work and shall include all proper charges for packing, carriage and delivery to site, after deduction of all trade documents, rebates and allowances and the discount obtainable for cash insofar as such discount for cash exceeds 2½%.

  • Overhead means those amounts which are intended to recover a proportion of the Supplier’s or the Key Sub-Contractor’s (as the context requires) indirect corporate costs (including financing, marketing, advertising, research and development and insurance costs and any fines or penalties) but excluding allowable indirect costs apportioned to facilities and administration in the provision of Supplier Personnel and accordingly included within limb (a) of the definition of “Costs”;
