Manager Group definition

Manager Group means the Managers and any other Service Providers;

• The Manager may subcontract to any other member of the Manager Group or any of its Affiliates, or arrange for the provision of any or all of the Services to be provided by it under this Agreement by any other member of the Manager Group or any of its Affiliates, and each of CWEN, CE LLC, XX XxxXx and CE Op hereby consents to any such subcontracting or arrangement; provided that the Manager shall remain responsible to the Service Recipients for any Services provided by such Person.

• The Manager shall arrange, or shall cause another member of the Manager Group to arrange, for such qualified personnel and support staff to be available to carry out the Services.

• The relevant member of the Manager Group shall not be liable to any member of the YieldCo Group, such member’s Governing Body or any other Person for any acts performed or omissions to act by a member of the YieldCo Group in connection with the money or other property released to a member of the YieldCo Group in accordance with the second sentence of this Section 10.

• Any examination of records will be conducted in a manner which will not unduly interfere with the conduct of the business of any member of the Manager Group in the ordinary course.

• The Manager shall, or shall cause any other member of the Manager Group to, as applicable, maintain proper books, records and documents on behalf of each Service Recipient, in which complete, true and correct entries, in conformity in all material respects with GAAP and all requirements of applicable Laws, will be made.

More Definitions of Manager Group

Manager Group means the Manager and its Affiliates (other than any member of the Yield Group) and any other Service Providers;

Manager Group means (a) the Manager and any of its directors, officers or employees; (b) (i)any Affiliate of the Manager and any director or officer of such Affiliate and (ii) any director, officer or employee of a Subsidiary of the Manager (provided that this clause (b)(ii) shall not include any portfolio companies of any investment funds directly or indirectly managed by the Manager or an Affiliate of the Manager or any Subsidiaries of any such portfolio companies); and (c) for so long as SoftBank Group Corp. or its Affiliates, directly or indirectly, hold or control at least 10% of the economic rights of the Manager, SoftBank Group Corp., and any of its executive officers or directors; provided, that the identities of such Persons in this clause (c) can be reasonably determined based on information that is generally available to the public. Notwithstanding the foregoing, the “Manager Group” shall (i) include, as of the applicable time of determination, any portfolio companies of any investment funds directly or indirectly managed by the Manager or an Affiliate of the Manager, and any Subsidiaries of any such portfolio companies and any of the respective directors or officers of such portfolio companies and their respective Subsidiaries; provided, that, in each case of this clause (i), the identities of such individuals are known to the Executive Officers or Employee Directors of the Company, and (ii) those persons excluded from, or included in, such definition as set forth on Schedule J to the Subscription Agreements.

Manager Group means any person that is connected to the Manager, including the Manager’s ultimate holding company and any subsidiary of the Manager and/or that ultimate holding company from time to time;

Manager Group has the meaning ascribed to such term in Section 5.01.

Manager Group means the Investment Manager, AE Tollway Limited, CG Tollway Limited, IRB Hapur Moradabad Tollway Limited, IRB Westcoast Tollway Limited, Kishangarh Gulabpura Tollway Limited, Kaithal Tollway Limited, Solapur Yedeshi Tollway Limited, Udaipur Tollway Limited, Yedeshi Aurangabad Tollway Limited and IRB Infrastructure Trust and the entities controlled by the Investment Manager and/or IRB Infrastructure Trust, including the other SPVs (as defined in the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014), if any.

Manager Group means each Manager, for so long as he, she or it holds Shares or Options, and any of his, her or its direct or (through another Permitted Transferee) indirect Permitted Transferees that hold Shares or Options.

Manager Group means the Manager and any other Service Providers who are Affiliates of CIM Service Provider (but excluding third party Service Providers);
