Marketing Member definition

Marketing Member means, with respect to any Property or Subsidiary (or of the Company), the first of Whitehall or WCPT (provided such Person is still an Appointing Member) to receive a binding offer from a Person who is not Affiliated with such Member to purchase such Property or Subsidiary (or the Company) and if Whitehall and WCPT shall each contemporaneously receive such an offer, the Member receiving the offer with the higher purchase price for such Property or Subsidiary (or the Company); provided that, at any time after the occurrence of a Triggering Event specified in clause (ii) only Whitehall may be a Marketing Member.
Marketing Member means a Shareholder Member that has entered into a Marketing Agreement;
Marketing Member a corporation that was a Pre-Spin-off Member and becomes a member of the Marketing Group at the beginning of the day immediately after the Closing Date. "Net Tax(es)" -- Taxes (as defined herein) less any related interest or penalty attributed to such Taxes.

More Definitions of Marketing Member

Related to Marketing Member

  • Initiating Member shall have the meaning provided in Section 15.2(a).

  • Participating member means a member who is required to make mandatory contributions by the applicable retirement act to his or her health reimbursement account.

  • Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

  • Project Steering Committee or “PSC” means the committee referred to in Section I.B of Schedule 2 to this Agreement;

  • spatial development framework means the Mhlontlo Municipal Spatial Development Framework prepared and adopted in terms of sections 20 and 21 of the Act and Chapter 2 of this By-Law;

  • Major development means an individual “development,” as well as multiple developments that individually or collectively result in:

  • Presiding Member means the presiding member of a committee or the deputy presiding member, or a member of the committee when performing a function of the presiding member in accordance with the Act;
