Merger Fees means all fees and expenses paid since December 31, 1999 or payable by or on behalf of the Company or any of its Subsidiaries to all attorneys, accountants, investment bankers, financial advisors and other experts and advisers incident to the negotiation, preparation, execution and consummation of this Agreement and the transactions contemplated hereby.
