Miscellaneous Personal Property definition

Miscellaneous Personal Property shall have the meaning assigned thereto in SECTION 2.1(b)(xiii).
Miscellaneous Personal Property means the miscellaneous tangible personal property, other than Supplies, located at the Restaurants, including the useable supplies of non-disposable tableware, flatware, and cups, kitchenware, smallwares, uniforms and promotional materials.
Miscellaneous Personal Property means, with respect to each Hotel, and only to the extent, if any, the applicable Seller and/or Operating Lessee has any right, title or interest therein, such Hotel’s domain name, URL, website (including access to the FTP files of such website) and web address (if any, and only any such domain name, URL, website and/or web address, as relate solely to such Hotel), the Hotel’s telephone numbers, printed marketing materials, if any, relating solely to the Hotel, and any slides, proofs or drawings used by the Seller owning such Hotel or the Operating Lessee to produce such materials, to the extent such slides, proofs or drawings are in such Seller’s or the Operating Lessee’s possession and without any express or implied representation or warranty of any kind by such Seller or the Operating Lessee in connection therewith. In no event shall Miscellaneous Personal Property include any property licensed for use under the Franchise Agreements, unless Purchaser continues to operate the applicable Hotel under the Franchise Agreement or pursuant to a new franchise agreement with the Franchisor duly entered into by Purchaser and such Franchisor. Miscellaneous Personal Property shall also exclude (i) Consumables, (ii) Food and Beverage, (iii) Operating Supplies and Equipment, (iv) Furnishings and (v) Excluded Items.

Miscellaneous Personal Property means choses in action (where Seller is claimant), customer lists, finished goods, guaranties (running in favor of Seller), office supplies, product and purchase orders, Permits, Records, refunds from suppliers and rights to refunds from suppliers, sales orders, supplier lists, and all other tangible and intangible personal property not included within the definitions of Software, Proprietary Rights, Contracts, Contract Rights and Equipment.
Miscellaneous Personal Property means (i) any and all trademarks, service marks, trade names and copyrights owned by Seller or any affiliate of Seller relating to the Hotel, (ii) any and all goodwill associated with the Hotel, (iii) the Hotel’s website and web address, if any, (iv) the Hotel’s telephone numbers, and (v) printed marketing materials, if any, relating to the Hotel, and any slides, proofs or drawings used to produce such materials, to the extent such slides, proofs or drawings are in Seller’s possession.
Miscellaneous Personal Property means Seller’s interest as of the Closing Date in the miscellaneous personal property used in the operation of the Restaurants, including the supplies of paper products, disposable and non-disposable tableware, flatware, and cups, kitchenware, smallwares, uniforms, cleaning supplies, advertising and promotional materials, office and maintenance supplies, construction plans and surveys, and in-store xxxxx cash (up to $2,000 per Restaurant).

In no event shall Miscellaneous Personal Property include any property licensed for use under the Franchise Agreement, but only to the extent that at Closing all of such items are removed from the Hotel, transferred to the Franchisor, and otherwise dealt with in accordance with the Franchise Agreement.
