Multicurrency Agent definition

Multicurrency Agent means Xxxxx Fargo Bank, National Association, London Branch, and any other financial institution designated by the Administrative Agent (and reasonably acceptable to the Parent Borrower) to act as its sub-agent and correspondent hereunder in respect of the disbursement and payment of Foreign Currency Loans.

Multicurrency Agent means (a) during a Wxxxx Fargo Availability Period, Wxxxx Fargo Bank, National Association, London Branch, (b) during a Wxxxx Fargo Unavailability Period, the Backup Administrative Agent, and (c) and any other financial institution designated by the Primary Administrative Agent or the Backup Administrative Agent, as applicable (and reasonably acceptable to the Borrower), to act as its sub-agent and correspondent hereunder in respect of the disbursement and payment of Multicurrency Revolving Loans denominated in a Foreign Currency and Multicurrency Swingline Loans.

Multicurrency Agent means (a) in the case of Foreign Currency Loans denominated in Canadian dollars, Wachovia Capital Finance Corporation (Canada), and (b) for all other Foreign Currency Loans, Wachovia Bank, National Association, London Branch, and any other financial institution designated by the Administrative Agent (and reasonably acceptable to the Parent Borrower) to act as its sub-agent and correspondent hereunder in respect of the disbursement and payment of Foreign Currency Loans.

• The Administrative Agent and the Multicurrency Agent shall in all cases be fully protected in acting, or in refraining from acting, under this Agreement and the other Loan Documents in accordance with a request of the Required Lenders (or, if so specified by this Agreement, all Lenders), and such request and any action taken or failure to act pursuant thereto shall be binding upon all the Lenders and all future holders of the Loans.

• Such Person and its Affiliates may accept deposits from, lend money to, own securities of, act as the financial advisor or in any other advisory capacity for and generally engage in any kind of business with the Borrower or any Subsidiary or other Affiliate thereof as if such Person were not the Administrative Agent or the Multicurrency Agent hereunder and without any duty to account therefor to the Lenders.

• Any reference to the Agents in this Article XII shall be deemed to refer to Xxxxx Fargo solely in its capacity as Administrative Agent and Multicurrency Agent and not in its capacity as a Lender.

• Such adjusted export bills should however continue to be followed up for realization of the export proceeds and will continue to be reported in the XOS statement.In order to reduce the cost to exporters (i.e. interest cost on overdue export bills), exporters with overdue export bills may also extinguish their overdue post shipment rupee export credit from their rupee resources.

• Anything herein to the contrary notwithstanding, none of the Arrangers listed on the cover page hereof shall have any powers, duties or responsibilities under this Agreement or any of the other Loan Documents, except in its capacity, as applicable, as the Administrative Agent, the Multicurrency Agent or a Lender hereunder.

More Definitions of Multicurrency Agent

Multicurrency Agent means X.X. Xxxxxx Europe Limited and any successor thereto appointed pursuant to Section 12.9.
