Net Cash Flow Leverage Ratio definition

Net Cash Flow Leverage Ratio means as of the last day of any calendar quarter for which financial statements have been delivered pursuant to Section 7.6 hereof the ratio of the Total Funded Debt as of such day minus Qualified Cash to Adjusted EBITDA for the four calendar quarters then ended on such day. “Net Cash Flow Leverage Ratio Increase” is defined in Section 7.15 hereof. “New Term Loan” is defined in Section 1.15 hereof. “Non-Consenting Lender” means any Lender that does not approve any consent, waiver or amendment that (a) requires the approval of all affected Lenders in accordance with the terms of Section 12.13 and (b) has been approved by the Required Lenders. “Non-Defaulting Lender” means, at any time, each Lender that is not a Defaulting Lender at such time. “Non-Extending Lender” is defined in Section 1.18 hereof. “Non-Public Lender” means (i) until the publication of an interpretation of “public” as referred to in the CRR by the competent authority/ies: an entity which (x) assumes rights and/or obligations vis-à-vis the Borrower, the value of which is at least EUR 100,000 (or its equivalent in any other currency), (y) provides repayable funds for an initial amount of at least EUR 100,000 (or its equivalent in any other currency) or (z) otherwise qualifies as not forming part of the public; and (ii) as soon as the interpretation of the term "public" as referred to in the CRR has been published by the relevant authority/ies: an entity which is not considered to form part of the public on the basis of such interpretation. “Note” means any promissory note issued at the request of a Lender pursuant to Section 1.11 hereof in the form of Exhibit C-1 evidencing such Lender’s Revolving Loans, Exhibit C-2
