Net Royalty Revenue definition

Net Royalty Revenue means all consideration, including without limitation, royalties, profit sharing, or other payments of any nature, whether such consideration is in cash, payment in kind, exchange or another form, received by Allelix, from a Third Party, Licensor, or Licensee in respect of the sale or other distribution of any Product.
Net Royalty Revenue means the royalty payments actually received by the Company under an outbound license agreement (excluding any advertising royalties and any taxes, foreign or domestic, withheld from or added to any royalties paid to the Company) less (i) any fees, costs and/or expenses (including attorneys’ fees) incurred by the Company in connection with the enforcement by the Company of its rights to receive royalties under any outbound license agreement, (ii) any unaffiliated third-party commissions payable by the Company on such royalty revenues and (iii) any royalty payments (and any collections, recoveries, payments, supplements or other compensation made in lieu thereof) and any other remuneration of any kind payable by the Company pursuant to any inbound license agreement with respect to such royalty payments.
Net Royalty Revenue means any and all royalties on sales received by Lipoxen and/or its Affiliates from its Sub-licensees in respect of sub-licences of SIIL Background IP, which shall for the avoidance of doubt not include any licence fees or milestone payments, less any costs or expenses incurred by Lipoxen in obtaining payment of such sums and excluding any:- (a) fees received in respect of services supplied by Lipoxen; and (b) value added tax or other sales tax on such sums;

More Definitions of Net Royalty Revenue

Net Royalty Revenue as used herein shall mean the gross revenue of Arcadia and any Related Person from sublicensing all or any part of the Technology and the University Patents, or Improvements, to another person, less the following:
Net Royalty Revenue means with respect to Combination Products: (i) Zonagen Net Sales of the Combination Product, less Cost-of-Goods Sold and Zonagen's reasonable out-of-pocket costs for patents and trademarks; and/or (ii) royalties received by Zonagen (or its successor in interest) in connection with any license, distributorship, assignment, transfer or other grant or conveyance of rights in or to the Combination Product.

  • Net Sales Revenue shall have the meaning as set out in Schedule "A"

  • Net Revenue means an entity’s total revenue less its operating expenses, interest paid, depreciation, and taxes. “Net Revenue” is synonymous with “Profit.”

In the event such consideration received from a Sublicensee is not cash, Sublicense Revenue shall be calculated by TGTX based on the fair market value of such consideration, at the time of the transaction, assuming an arm’s length transaction made in the odinary course of business.

  • Royalty Year means, (i) for the year in which the First Commercial Sale occurs (the “First Royalty Year”), the period commencing with the first day of the Calendar Quarter in which the First Commercial Sale occurs and expiring on the last day of the Calendar Year in which the First Commercial Sale occurs and (ii) for each subsequent year, each successive Calendar Year.

  • Royalty Rate means the percentage defined in Exhibit B.

  • Sublicense Revenues means all revenue, in whatever form but excluding sublicense royalties, earned by the Licensee in consideration of its granting a Third Party a sublicense to make a Licensed Product including, without limitation, receipt of annual milestone attainment, sublicense issuance, maintenance or up-front payments, or technology access fee; and issuance of securities or real, personal or intangible property.
