New Common Facilities definition

New Common Facilities has the meaning given to such term in the Recitals to this Agreement.

New Common Facilities means certain separate facilities, as such facilities may be modified from time to time, that are to be constructed as part of the Elm Road Generating Station and that will be utilized in common in the operation and maintenance of the Elm Road Units 1 and 2 and, where applicable, one or more units of the Oak Creek Power Plant.

  • Lessor will lease to Lessee, and Lessee will lease from Lessor, the Xxxx 0 Ownership Interest and the New Common Facilities Ownership Interest (collectively, the “Leased Facility”) on the terms and conditions provided for in this Facility Lease.

  • If MGE Power and/or WPPI elect to become Unit 1 Owners in accordance with Section 2.3(c), then upon each such Party becoming a Unit 1 Owner and acquiring a Unit 1 Ownership Interest in accordance with Article IV, such Party shall also acquire from ERGS SC in accordance with Article IV a percentage undivided ownership interest in each Component (each, a “Unit 1 Component Ownership Interest”) of the New Common Facilities determined in accordance with Exhibit D.

  • The Parties further acknowledge and agree that the costs and expenses associated with the permanent retirement of the New Common Facilities (whether used in connection with Unit 1 or not) shall not be included in the retirement costs and expenses to be recovered under Section 10.2.

  • In the case of Section 7.4(iii) of the Facility Lease occurring after the Lease Effective Date, Lessor’s New Common Facilities Ownership Interest and New Common Facilities Ownership Percentage in each Component will be decreased or increased by the amount of any New Common Facilities Ownership Percentage in each such Component transferred or sold or purchased, respectively.

  • As used herein, the term "Subject Properties" shall mean the Companies' respective interests as tenants in common in Weston 4, the Weston New Common Facilities and the Weston Existing Common Facilities, DPC's interests in the Ground Lease and the Easement, and WPSC's ownership interest in the Site and the Easement Property, and the Companies' respective rights under this Agreement and under the EI Agreement.

New Common Facilities shall not include the Existing Units, the New Units, the transmission facilities of the American Transmission Company LLC, all real property rights to a fee or leasehold interest in the Elm Road Site (including ERGS SC’s leasehold interests in the Elm Road Site), the Existing Common Facilities, all facilities, equipment, materials, improvements and property the costs of which are Project Costs (as such term is defined in the Unit 1 Ownership Agreement), but which by their nature or otherwise are to be owned by third parties (e.g., transmission equipment, railroad infrastructure, road improvements, accommodations to land-owners, etc.), and all other facilities, equipment, improvements and property owned by WEPCO and located at the Elm Road Site. New Common Facilities means those certain facilities utilized in common in the operation and maintenance of both Unit 1 and Unit 2 located in Oak Creek, Wisconsin, as more fully described in Exhibit A to the New Common Facilities Ownership Agreement.

Related to New Common Facilities

  • Common Facilities means the facilities under D.G.sets/D.G.rooms, water storage tanks its pumping and supply system, sewerage & drainage systems, electric sub-station/ transformers/electric panels/distribution network, maintenance service rooms, lawns including lighting & services etc., roads, pathways & driveways including street lighting & services etc., guard posts, fire hydrants & fire fighting system etc. and all such facilities and areas for common use and excluded from the computation of Super Area of the Said Premises;

  • Common Facility Means a place where tenants utilise the same equipment such as kitchen, laundry meeting room and or car park.

  • Interconnection Facilities means the Transmission Owner Interconnection Facilities and the Customer Interconnection Facilities.

  • New Facilities means facilities for which, by the cut-off date, neither of the following events has occurred:

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Production Facilities (7 9) means "production equipment" and specially designed software therefor integrated into installations for "development" or for one or more phases of "production".

  • Parking Facilities means parking lots or other off-street areas for the parking of vehicles, including areas below or above the surface of streets.

  • Common Areas and Facilities means collectively the Development Common Areas and Facilities and the Residential Common Areas and Facilities and all those parts and such of the facilities of the Development designated as common areas and facilities in any Sub-Deed;

  • Distribution facilities means electric facilities located in Delaware that are owned by a public utility that operate at voltages of 34,500 volts or below and that are used to deliver electricity to Retail Electric Customers, up through and including the point of physical connection with electric facilities owned by the Retail Electric Customer.

  • Shared Facilities means the gentie lines, transformers, substations, or other equipment, permits, contract rights and obligations, and other assets and property (real or personal), in each case, as necessary to enable delivery of energy from Seller’s electric generating facility (which is excluded from this definition of Shared Facilities) to the Point of Interconnection that are used in common with other entities, as applicable.

  • Electrical Interconnection Facilities means the equipment and facilities required to safely and reliably interconnect a Facility to the transmission system of the Transmitting Utility, including the collection system between each Bloom System, transformers and all switching, metering, communications, control and safety equipment, including the facilities described in any applicable Interconnection Agreement.

  • Railroad facilities means right of way and related

  • Acquisition Facility the Acquisition Facility Commitments and the extensions of credit thereunder.

  • Transmission Owner Interconnection Facilities means all Interconnection Facilities that are not Customer Interconnection Facilities and that, after the transfer under Tariff, Attachment P, Appendix 2, section 5.5 to the Interconnected Transmission Owner of title to any Transmission Owner Interconnection Facilities that the Interconnection Customer constructed, are owned, controlled, operated and maintained by the Interconnected Transmission Owner on the Interconnected Transmission Owner’s side of the Point of Interconnection identified in appendices to the Interconnection Service Agreement and to the Interconnection Construction Service Agreement, including any modifications, additions or upgrades made to such facilities and equipment, that are necessary to physically and electrically interconnect the Customer Facility with the Transmission System or interconnected distribution facilities. Transmission Provider: The “Transmission Provider” shall be the Office of the Interconnection for all purposes, provided that the Transmission Owners will have the responsibility for the following specified activities:

  • associated facilities means all associated track structures, over and under track structures, supports (including supports for equipment or items associated with the use of the Network), tunnels, bridges, train control systems, signalling systems, communication systems and associated plant, machinery and equipment from time to time but only to the extent that such assets are related to or connected with the Network but does not include any sidings or yards;
