Newco Plan definition

Newco Plan means the plan set forth in Exhibit F to this Settlement Agreement.
Newco Plan means the equity incentive plan of NewCo disclosed in the Registration Statement.
Newco Plan shall have the meaning set forth in Section 8.21(g).

  • The Approval Order will further provide that Summary Plan Descriptions of the Newco Plan are amended to reflect the termination of Newco and the Newco Plan responsibilities for Retiree Medical Benefits for the Class and the Covered Group for claims incurred on or after the Implementation Date as set forth herein.

  • On the Initial Plan Amendment Date, the terms of the Newco Plan shall be amended as set forth in Exhibit G.

  • Affected Employees shall be given credit for amounts paid under any medical or dental plan of Cendant during the same period for purposes of applying deductibles, co-payments and out-of-pocket maximums as though such amounts had been paid in accordance with the terms and conditions of the analogous Newco Plan.

  • EHC plan means an Education, Health and Care plan made under sections 37(2) of the Children and Families Act 2014.

  • Company 401(k) Plan shall have the meaning set forth in Section 6.09(e).

  • Qualified Plan means a Benefit Arrangement that is intended to be tax-qualified under Section 401(a) of the Internal Revenue Code.

  • Company Stock Option Plan means each share option plan, share award plan, share appreciation right plan, phantom share plan, share option, other equity or equity-based compensation plan, equity or other equity based award to any employee, whether payable in cash, shares or otherwise (to the extent not issued pursuant to any of the foregoing plans), or other plan or contract of any nature with any employee pursuant to which any share, option, warrant or other right to purchase or acquire shares of the Company or right to payment based on the value of Company shares has been granted or otherwise issued.
