NINE definition

NINE. This Agreement shall not in any way be construed as an admission by the Company that it has acted wrongfully with respect to you or any other person, or that you have any rights whatsoever against the Company, and the Company specifically disclaims any liability to or wrongful acts against you or any other person, on the part of itself, its employees or its agents. This Agreement shall not in any way be construed as an admission by you that you have acted wrongfully with respect to the Company, or that you failed to perform your duties or negligently performed or breached your duties, or that the Company had good cause to terminate your employment.

NINE shall have the meaning specified in the opening paragraph hereof.

NINE. Security Interest on Class “A” Shares

NINE. “Contractor” means any natural or legal person, national or foreign, that has entered into a contractual relationship with the State to perform exploration and exploitation activities of Hydrocarbons in Nicaragua. In this Contract, it means Infinity Energy Resources, Inc. or its successors.

NINE means Nine Energy Service, Inc., a Delaware corporation.

NINE in Section 2.1(a) of the Agreement is hereby deleted and replaced with the words "not less than nine but not more than eleven (as determined by the Vestar Majority Holders)".

NINE and to provide that the payments thereunder shall commence June 15, 1999 and shall be payable in nine (9) consecutive equal monthly installments less applicable deductions (including, but not limited to, social security payments, income tax withholding, and any other deduction required by law). In addition, upon the first to occur of a sale or merger of the Company or its liquidation or dissolution, the Company shall pay you a lump sum payment (again less applicable deductions) in an amount equal to the balance of the installments payable under Paragraph 9.7(i)(a) as hereby amended. Paragraph 9.7(ii) is hereby amended as provided in Paragraph 4 of this Agreement. Paragraph 9.7(iii) is deleted in its entirety.

NINE. Whereas from one million (1.000.000) ordinary shares of the company Airplan held by IT and granted in usufruct to Jaloy, the amount of eighty-six thousand seven hundred forty-seven (86.747) shares have been fully subscribed and unpaid, pursuant to the Rules for Issuance and Placement of Shares.

NINE. This inspection shall occur at the offices of the SPONSOR and at the expense of the SCIENTIST.

NINE wherever it appears in Section 5.3 shall become "twelve".
