Offered Warrant definition

Offered Warrant means a Common Share purchase warrant of the Issuer, one-half of which comprises part of an Offered Unit; each Offered Warrant entitling the holder thereof to acquire one Offered Warrant Share at an exercise price of $0.25 per Offered Warrant Share for a period of 12 months from the Closing.

  • If the Holder does not effectuate such transfer within ninety (90) days after the expiration of such ten (10)-day period, it must again first comply with this Section 25 prior to effectuating any such transfer of the Offered Warrant.

  • Each Offered Unit consists of one common share in the capital of SRHI (a "Common Share") and one Common Share purchase warrant in the capital of SRHI (an "Offered Warrant").

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Prefunded Warrant Shares means the shares of Common Stock issuable upon exercise of the Prefunded Warrants.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Offering Shares means the shares of Common Stock included in the Units issued pursuant to this Agreement and Investor Warrant Shares.

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Investor Warrants has the meaning given it in the recitals of this Agreement.

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Exercise Shares means the shares of Common Stock issuable upon exercise of this Warrant.

  • Sold Shares shall have the meaning specified in Section 6.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Sale Shares means [Insert total number of shares of the Company] Shares, representing 100 percent of the total issued, subscribed and fully paid-up equity share capital of the Company held by the Shares Seller and Nominees as more particularly described in Annexure A attached hereto;

  • SPAC Warrants means SPAC Private Warrants and SPAC Public Warrants, collectively.
