Offered Warrant definition

Offered Warrant means a Common Share purchase warrant of the Issuer, one-half of which comprises part of an Offered Unit; each Offered Warrant entitling the holder thereof to acquire one Offered Warrant Share at an exercise price of $0.25 per Offered Warrant Share for a period of 12 months from the Closing.

  • Notwithstanding the foregoing, the Company shall not be obligated to file a registration statement with respect to the Offered Warrant Shares on more than one occasion.

  • On the basis of the representations and warranties herein contained, but subject to the terms and conditions herein set forth, the Company hereby agrees to sell the Offered Shares and Offered Warrants to the Underwriter, and the Underwriter agrees to purchase the Offered Shares and Offered Warrants from the Company, at a purchase price of $4.50 per Offered Share and $.09 per Offered Warrant.

  • Within 20 days after its receipt of the Offer Notice (the “Election Period”), the Company may elect to purchase or obtain, at the price and on the terms specified in the Offer Notice, the Offered Warrant.

  • In addition, factors such as inadequate research on the selection of investment products and specific investment objects by the investment personnel of transaction business of the Company, incorrect decisions, inappropriate investment timing, improper operation may all adversely affect the Company’s transaction business and its overall business performance and financial position.

  • If the Holder does not effectuate such transfer within ninety (90) days after the expiration of such ten (10)-day period, it must again first comply with this Section 25 prior to effectuating any such transfer of the Offered Warrant.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Offering Shares means the Class A Shares sold in the Offering, whether such Class A Shares were purchased in the Offering or in the secondary market following the Offering and whether or not such holders are affiliates of the Sponsor.

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Investor Warrants has the meaning given it in the recitals of this Agreement.

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Warrant Shares means the shares of Common Stock issuable upon exercise of the Warrants.

  • Offer Shares means the Hong Kong Offer Shares and the International Offer Shares being offered at the Offer Price under the Global Offering together with any additional Shares to be issued pursuant to the exercise of the Over-Allotment Option;

  • Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Exercise Shares means shares of the Company’s Common Stock issuable upon exercise of this Warrant, as appropriate.

  • Sold Shares shall have the meaning specified in Section 6.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Sale Shares has the meaning ascribed to it at Recital (A).

  • SPAC Warrants means SPAC Private Warrants and SPAC Public Warrants, collectively.

  • Call Warrant As defined in the recitals.
