Examples of Offered Warrants in a sentence
If (x) the Selling Security Holder chooses to sell any Warrants in the case of subclause (ii) hereof, it shall sell a number of Warrants equal to at least 50% of the Number of Offered Warrants and (y) if the Selling Security Holder chooses to sell any Warrants in the case of subclause (iii) hereof, it shall sell 100% of the Number of Offered Warrants.
The Underwriter plans to offer the Offered Shares and Offered Warrants to the public at a public offering price of $5.00 per Offered Share and $.10 per Offered Warrant.
The Warrant Shares have been duly authorized and reserved for issuance pursuant to the terms of the Offered Warrants, and the Warrant Shares, when issued by the Company upon valid exercise of the Offered Warrants and payment of the exercise price, will be duly and validly issued, fully paid and nonassessable and will not be subject to preemptive or similar rights.
On the basis of the representations and warranties herein contained, but subject to the terms and conditions herein set forth, the Company hereby agrees to sell the Offered Shares and Offered Warrants to the Underwriter, and the Underwriter agrees to purchase the Offered Shares and Offered Warrants from the Company, at a purchase price of $4.50 per Offered Share and $.09 per Offered Warrant.
Any Debt Securities and any Warrants involved in any such offering are hereinafter referred to as the “Offered Debt Securities” and “Offered Warrants”, respectively, and collectively as the “Securities”, and Warrant Debt Securities issuable upon exercise of Offered Warrants are hereinafter referred to as the “Offered Warrant Debt Securities”.
