Operator Personnel. Operator shall engage or retain only such employees, contractors, consultants and agents as are reasonably necessary to conduct Joint Operations. Subject to the Contract and this Agreement, Operator shall determine the number of employees, contractors, consultants and agents, the selection of such persons, their hours of work, and the compensation to be paid to all such persons in connection with Joint Operations.
Operator Personnel. (A) Operator shall engage or retain only such employees, Secondees, contractors, consultants and agents as are reasonably necessary to conduct Joint Operations. For the purposes of this Article 4.3, “Secondee” means an employee of a Non-Operator (or its Affiliate) who is seconded to Operator to provide services under a secondment agreement to be negotiated and entered into between Operator and such Non-Operator; and “Secondment” means placement within Operator’s organization in accordance with this Article 4.3 of one or more persons who are employed by a Non-Operator or an Affiliate.
Operator Personnel. (a) Operator shall engage and/or retain only such employees, Secondees, contractors, consultants and agents as are reasonably necessary to conduct Joint Operations.
(b) Subject to the PSC and this Agreement, Operator shall determine the number of such employees, Secondees, contractors, consultants and agents, the selection of such persons, their hours of work, and (except for Secondees) their compensation.
(c) No Secondment may be implemented except in the manner set out in clause 4.3(d).
(d) Any Party may propose Secondment for a designated purpose related to Joint Operations. Any proposal for Secondment must include the:
(i) designated purpose and scope of Secondment, including duties, responsibilities, and deliverables;
(ii) duration of the Secondment;
(iii) number of Secondees;
(iv) work location and position within Operator’s organization of each Secondee; and
(v) estimated costs of the Secondment.
(e) If a proposed Secondment meets the requirements of clause 4.3(d), Operator shall as soon as reasonably practicable approve (such approval not to be unreasonably withheld) or reject any Secondment proposed by a Non-Operator. Without prejudice to Operator’s right to conduct Joint Operations under this Agreement and the PSC, Operator shall consider such Secondment proposal in light of the potential benefits of such Secondment to the conduct of Joint Operations.
(f) Any proposal for one or more Secondment positions approved by Operator is subject to: (i) the Operating Committee’s authorization of an appropriate budget for such Secondment positions; and (ii) Non-Operators continuing to make available to Operator Secondees qualified to fulfill the designated purpose and scope of such Secondment.
(g) Operator shall have the right to terminate the Secondment for cause under the Secondment agreement provided for under clause 4.3(i).
(h) Each Secondee shall report to and be directed and supervised by Operator (as further set forth in the Secondment agreement provided for under clause 4.3(i)), but, for the avoidance of doubt, shall remain at all times the employee of the Party (or its Affiliate) nominating such Secondee.
(i) Operator and the Non-Operator that employs, or whose Affiliate employs, the Secondee shall enter into a separate agreement relating to such Secondment consistent with this clause 4.3.
(j) Operator shall charge to the Joint Account the costs related to Secondment and Secondees that are within the approved Work Program and Budget.

The Operator shall take reasonable steps to ensure the reliability of any employee, agent or contractor who may have access to the Company personal information, ensuring in each case that access is strictly limited to those individuals who need to know / access the relevant Company personal information, as strictly necessary for the purposes of the Principal Agreement, and to comply with applicable laws in the context of that individual's duties to the Operator, ensuring that all such individuals are subject to confidentiality undertakings or professional or statutory obligations of confidentiality.

Operator Personnel. To the extent permitted by Law, the Department is not liable to the Operator for any Loss in connection with work health and safety in relation to performing the Services, including in relation to any Operator Personnel.

12.1 The Parties agree that the Transfer of Undertakings (Protection of Employment) Regulations 2006 (as amended) do not apply on the Agreement Commencement Date or on the expiry or termination of this Agreement.
12.2 Nothing in this Agreement will render the Operator Personnel, an employee, agent or partner of the Administrator or of any member of the TfL Group by virtue of the provision of the Service by the Operator and the Operator shall be responsible for making appropriate deductions for tax and national insurance contributions from the remuneration paid to the Operator Personnel.
12.3 The Operator shall provide the Operator Personnel as necessary for the proper and timely performance and management of the Service in accordance with the relevant Operator Contract. All Operator Personnel deployed on work relating to an Operator Contract shall have the appropriate qualifications and competence, be properly managed and supervised and in these and any other respects be acceptable to the Administrator.
12.4 The Operator shall give the Authority, if so requested, full particulars of all persons who are or may be at any time employed in provision of the Service and shall take all reasonable steps to avoid changes to any of its staff designated as Key Personnel. The Operator shall give the Authority reasonable notice of any proposals to change Key Personnel and Clause

5.4 The Full-service Borough shall:
5.4.1 provide such co-operation in connection with the timely progression of issues and provision of information as the Operator may reasonably require to enable the Operator to meet its obligations under the Administration Agreement and any Operator Contract at all reasonable times in accordance with the provisions of the Specification and the other provisions of this Operator Contract;
5.4.2 use its reasonable endeavours to facilitate communications between the Operator and relevant stakeholders including the other Participating Boroughs where such communications are necessary in order for the Operator to be able to perform its obligations under this Operator Contract.
5.5 Without prejudice to any of the Full-service Borough’s other rights, powers or remedies, the Full-service Borough may (without liability to the Operator) deny access to such Operator Personnel to any premises of the Full-service Borough and/or require that any Operator Personnel be immediately removed from performing the Service if such Operator Personnel in the Full-service Borough's view have not been properly trained in any way required by the Operator Contract, are otherwise incompetent, negligent, guilty of misconduct or could be a danger to any person. The Full-service Borough shall notify the Operator of such denial and/or requirement in writing and the Operator shall comply with such notice and provide a suitable replacement (with the Contract Co- ordinator’s prior consent in the case of Key Personnel).

For the avoidance of doubt, Operator may engage or retain Affiliates of Operator at market rates prevalent in the international petroleum industry for similar work in the Contract Area; provided that in each case Operator provides an explanation of why it elected to retain or engage an Affiliate, and includes reasonable support for Operator’s position that the rate paid to the Affiliate is a market rate prevalent in the international petroleum industry for similar work in the Contract Area.
