Option Fields definition

Option Fields means the use of Chips in: (a) Genomics, that is, nucleic acid-based analysis for discovery or development of human and animal pharmaceuticals or agricultural chemicals to treat plant diseases and pests and for the discovery of plant genes for the purpose of modifying plant traits; (b) Non-nucleic acid-based and non-cell based analyses for high throughout screening, that is for discovering and developing human and animal pharmaceuticals and agricultural chemicals to treat plant diseases and pests; (c) Analysis and synthesis Research Products for use in the Life Sciences and in chemistry and materials research; and (d) Cell-based assays for lead discovery, lead optimization and pharmaceutical development, including assays for drug metabolism, pharmacokinetics, toxicology and bioavailability.

Examples of Option Fields in a sentence

  • At no time during the Agreement Term shall there be more than five (5) Non-Exclusive Option Fields unless otherwise mutually agreed to by the Parties in writing.

  • Each such exercise of this option by Licensee shall be by written notice to Licensor, referencing this Agreement and specifying the Option Field(s) of Use to be added.

  • For the avoidance of doubt, during the first twelve (12) month period of the term of this Agreement, Licensee may exercise this option for one or both Option Fields of Use and on one or two occasions.

  • Upon the signing of this Agreement and upon exercise of any of the Option Fields of Use under 5.2, both parties shall be entitled to make public — through a press release or otherwise - that Licensee has taken a license to the Patents from the Licensor.

  • For any two-year period during which Orchid has failed to exercise rights to at least one Option Field, Orchid shall lose the rights to two of the remaining unexercised Option Fields.

  • Promptly following the completion of the first Phase II clinical trial for a DNA nanobinder compound in each of the GS Option Fields, GS shall notify LGLS and disclose to LGLS all available preclinical and clinical data regarding the use of such DNA nanobinder compound in the GS Option Field in question.


More Definitions of Option Fields

Option Fields means: the research, development, production and commercialization of products or processes in: (i) Option Field 1/"Agricultural Products" which means trait modification (excluding herbicide and pesticide resistance traits) and pathway engineering in corn or soy based plants and seeds; and (ii) Option Field 2/"BioMaterials" which means repeat sequence structural protein based biomaterials.
Option Fields would be treatment of ischemic stroke, acute respiratory distress syndrome (including idiopathic pulmonary fibrosis), and either trauma or an alternative indication mutually agreed by the Parties, or some combination of the foregoing.
