Orko Shares means the common shares of Orko.

Examples of Orko Shares in a sentence

  • No Orko Shares are held in treasury or authorized or reserved for issuance, other than upon the exercise of the Orko Options that are set forth in Schedule 3.1.2 of the Orko Disclosure Letter.

  • All outstanding Orko Shares have been duly authorized and are validly issued, are fully paid and non-assessable and were issued in compliance with the articles of Orko and all applicable Laws.

  • In no event shall any holder of Orko Shares be entitled to a fractional Coeur Share or Coeur Warrant.

  • There are, and have been, no preemptive rights relating to the allotment or issuance of any of the issued and outstanding Orko Shares.

  • Any certificate which immediately prior to the Effective Time represented outstanding Orko Shares that were exchanged pursuant to Section 2.3(d) and not deposited, with all other instruments required by Section 4.1 on or prior to the third anniversary of the Effective Date shall cease to represent a claim or interest of any kind or nature as a shareholder of Coeur.

  • The Parties agree that the Arrangement will be carried out with the intention that all Coeur Shares and Coeur Warrants issued under the Arrangement to the holders of Orko Shares will be issued in reliance on the exemption from the registration requirements of the U.S. Securities Act provided by Section 3(a)(10) of the U.S. Securities Act (the “Section 3(a)(10) Exemption”).

  • Neither Coeur nor any of its affiliates own any Orko Shares or any other securities of Orko.

  • Neither First Majestic nor any of its affiliates own any Orko Shares or any other securities of Orko.

  • Any certificate which immediately prior to the Effective Time represented outstanding Orko Shares that were exchanged pursuant to Section 2.3(c) and not deposited, with all other instruments required by Section 4.1 on or prior to the third anniversary of the Effective Date shall cease to represent a claim or interest of any kind or nature as a shareholder of Coeur.

  • Any certificate which immediately prior to the Effective Time represented outstanding Orko Shares that were exchanged pursuant to Section 2.3(d) and not deposited, with all other instruments required by Section 4.1 on or prior to the third anniversary of the Effective Date shall cease to represent a claim or interest of any kind or nature as a shareholder of First Majestic.

Related to Orko Shares

  • Amalco Shares means common shares in the capital of Amalco;

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Put Shares means shares of Common Stock that are purchased by the Investor pursuant to a Put.

  • Subco Shares means the common shares in the capital of Subco;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Sold Shares shall have the meaning specified in Section 6.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Purchase Shares has the meaning set forth in Section 2.5(c).

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Pubco Shares means fully paid and non-assessable common shares of Pubco to be issued to the Selling Shareholders by Pubco upon Closing on the basis of 1 Pubco Share for 5.4935 Priveco Shares;

  • Newco Shares means the common shares in the capital of Newco;

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;

  • Common Shares means the common shares in the capital of the Company;

  • Unit Shares means the Common Shares comprising part of the Units;

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).
