Outside Executive Position definition

Outside Executive Position means the position of director, officer, trustee or other equivalent executive position held by any of the Insured Person in an Outside Entity if service in such position is at the specific request of the Insured Organization.
Outside Executive Position means the position of director, officer, trustee or other equivalent executive position held by any of the Directors and Officers in an Outside Entity if service in such position is at the specific request of the Company.
Outside Executive Position means the position of director, officer, trustee or other equivalent executive position held by any of the Insured Persons in anOutside Entity if service in such position is with the knowledge and consent of the Insured Organization.

  • Liability - Outside Positions Coverage Underwriters shall pay on behalf of the Insured Persons all Loss resulting from any Claim first made against the Insured Persons during the Policy Period or Optional Extension Period, if applicable, and reported in writing to Underwriters in accordance with ClauseVIII.A. of the General Terms and Conditions for a Wrongful Act committed while serving in an Outside Executive Position.

  • Solely with respect to any Employment Practices Wrongful Act by any Employee while serving in an Outside Executive Position, coverage afforded by this Policy shall also be specifically excess of any indemnification and valid and collectible insurance available to such Insured Persons from the Outside Entity.

  • Scope of employment means performance by an employee acting in good faith within the duties of the employee’s office or employment or of tasks lawfully assigned by a competent authority including the operation or use of an agency vehicle or equipment with actual or implied consent of the supervisor of the employee, but shall not include corruption or fraud;
