Overallotment Shares definition

Overallotment Shares shall have the meaning as defined in Section 3(b)(ii).
Overallotment Shares means any ordinary shares in the capital of the Company that will be issued by the Company to cover overallotments, if any, in connection with the offering as set forth in the Underwriting Agreement.
Overallotment Shares shall have the meaning ascribed to such term in Section 2(e)(ii) herein.

  • Any non-breaching Backstop Party that is allocated Available Shares pursuant to this Section 15 shall be deemed a substitute for the breaching Backstop Party with respect to such Available Shares and any Available Shares allocated to a Backstop Party pursuant to this Section 15 shall be deemed Direct Subscription Shares, Backstop Shares or Overallotment Shares, as applicable, under Sections 1(c)(v), 2(a)(i) and 2(a)(ii), as applicable.

  • The Underwriting Agreement shall also provide that, at the IPO Closing, the Company shall grant to Newbridge (or its designated affiliates) share purchase warrants (the “Underwriter’s Warrants”) covering a number of shares of Common Stock equal to 10.0% of the total number of Shares being sold in the IPO (not including the Over-allotment Shares).


More Definitions of Overallotment Shares

Overallotment Shares means have the meaning ascribed to such term in Section 8.
