Parent ESPP definition

Parent ESPP means the Parent Employee Stock Purchase Plan, as in effect from time to time.

Parent ESPP means Parent’s 2020 Employee Stock Purchase Plan.

Parent ESPP shall have the meaning set forth in Section 4.6.

• The administrator of the Parent ESPP shall take all actions necessary and appropriate to provide that all payroll deductions and other contributions of the participants in the Parent ESPP who are SpinCo Group Employees shall cease on or before the Distribution Date.

• The Company employees who meet the eligibility requirements for participation in Parent’s Employee Stock Purchase Plan (“Parent ESPP”) shall be eligible to participate in the Parent ESPP starting with the first offering period of the Parent ESPP that begins after the Effective Time.

• The administrator of the Parent ESPP shall take all actions necessary and appropriate to provide that all payroll deductions and other contributions of the participants in the Parent ESPP who are Varex Employees shall cease on or before the Distribution Date.

• Parent agrees that from and after the Effective Time, the Company employees may participate in the Parent ESPP, subject to the terms and conditions of the Parent ESPP, and service with the Company shall be treated as service with the Parent for determining eligibility of the Company Employees under the Parent ESPP.

• In accordance with the terms of the Parent ESPP, any monies set aside under such Plan that were not previously used to purchase ESPP shares shall promptly be returned to the Transferred Employees.
