Parent Public Disclosure Record definition

Parent Public Disclosure Record means all documents filed or furnished to the SEC by or on behalf of Parent, or incorporated by reference into such documents, on or after December 31, 2012 and publicly available prior to the date of this Agreement.
Parent Public Disclosure Record means all reports, schedules, forms, registration statements, statements and other documents (including exhibits and other information incorporated therein) furnished or filed by or on behalf of Parent or Endo Health Solutions, Inc. on SEDAR or XXXXX in the period from March 31, 2013 to the second Business Day prior to the date hereof.
Parent Public Disclosure Record means all required reports, schedules, forms and other documents (including information incorporated by reference therein) furnished or filed by Parent with the SEC (other than any disclosures contained under the captions “Risk Factors” or “Forward-Looking Statements” and any other disclosures contained therein to the extent they are predictive, cautionary or forward-looking in nature) since January 1, 2015.

  • Except as set forth in the Parent Public Disclosure Record, the Parent Financial Statements were prepared in accordance with U.S. GAAP applied on a basis consistent with those of previous periods and in accordance with applicable Laws, except that interim financial statements are subject to normal period-end adjustments and may omit notes which are not required by applicable U.S. Securities Laws or U.S. GAAP.

  • Except as set forth in the Parent Public Disclosure Record, since December 31, 2010, (A) the Parent is not aware of any material weakness in the Parent’s internal control over financial reporting (whether or not remediated) and (B) no change in the Parent’s internal control over financial reporting has occurred that has materially and adversely affected, or is reasonably likely to materially and adversely affect, the Parent’s internal control over financial reporting.

  • As of the date hereof, there are no unresolved comments from the OSC or any other Governmental Authority with regard to the Parent Public Disclosure Record.

  • The documents in the Parent Public Disclosure Record, as at the respective dates filed, were in compliance in all material respects with applicable Canadian Securities Laws, the Exchange Act, the Securities Act and, where applicable, the rules and policies of the TSX and NASDAQ.

  • As of their respective dates, the Parent Public Disclosure Record (a) complied in all material respects with the applicable requirements of the Applicable Securities Laws and (b) did not or, if not yet filed, will not, contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements made therein, in the light of the circumstances under which they were made, not misleading.

  • The documents in the Parent Public Disclosure Record, as at the respective dates filed, were in compliance in all material respects with the Exchange Act, the Securities Act and, where applicable, the rules and policies of the NYSE.

  • There is no material Tax deficiency outstanding or assessed or proposed against Parent or any of its Subsidiaries that is not reflected as a liability on the balance sheet included in the Parent Public Disclosure Record.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Borrower with the relevant Securities Regulators pursuant to the requirements of Securities Laws, including all documents publicly available on the Borrower’s SEDAR profile.

  • Disclosure Record means the Company’s prospectuses, annual reports, annual and interim financial statements, annual information forms, business acquisition reports, management discussion and analysis of financial condition and results of operations, information circulars, material change reports, press releases and all other information or documents required to be filed or furnished by the Company under Applicable Securities Laws which have been publicly filed or otherwise publicly disseminated by the Company;

  • Public Disclosure means disclosure in a press release reported by the Dow Jones News Service, Associated Press or comparable national news service or in a document publicly filed by the corporation with the Securities and Exchange Commission pursuant to Section 13, 14 or 15(d) of the Exchange Act.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Parent Recommendation has the meaning set forth in Section 5.2(b).

  • Proxy Statement has the meaning set forth in Section 6.03(a).

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Information Statement means the information statement to be made available to the holders of Parent Shares in connection with the Distribution, as such information statement may be amended or supplemented from time to time prior to the Distribution.

  • Information Disclosure Requirements means the requirements to disclose information under:

  • 8-K Filing has the meaning set forth in Section 4.5.

  • Disclosure Materials has the meaning set forth in Section 3.1(h).

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • Covered Disclosure Information shall have the meaning set forth in Section 9.2(b) hereof.

  • Press Release has the meaning set forth in Section 4.5.

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Seller Information As defined in Subsection 34.04(a).

  • Required Disclosure Date means (x) if such Buyer authorized the delivery of such Confidential Information, either (I) if the Company and such Buyer have mutually agreed upon a date (as evidenced by an e-mail or other writing) of Disclosure of such Confidential Information, such agreed upon date or (II) otherwise, the seventh (7th) calendar day after the date such Buyer first received any Confidential Information or (y) if such Buyer did not authorize the delivery of such Confidential Information, the first (1st) Business Day after such Buyer’s receipt of such Confidential Information.

  • Required disclosure means disclosure by the director who has a conflicting interest of:

  • Required Financial Information means, with respect to each fiscal period or quarter of the Borrower, (a) the financial statements required to be delivered pursuant to Section 6.01(a) or (b) for such fiscal period or quarter of the Parent REIT, and (b) the Compliance Certificate required by Section 6.02

  • Risk Disclosure Statement means the document setting out general information in respect of the risks associated with utilising our financial products;
